1 5 Activity Report 2015 OHL Desarrollos OHL Desarrollos has become an international global developer of top-quality projects in the tourist and hotel sector 52 The golf course El Camaleon of the Mayakoba tourism development in the Riviera Maya, was the first to host an official tournament of the prestigious PGA Tour OHL outside Group the Annual US and Report Canada. 2015

2 MARKET & STRATEGY OHL Desarrollos has ended the 2015 financial year with various relevant milestones achieved in its activity and the three projects that the division is developing in the tourist and hotel sector: Mayakoba, in the Mexican Riviera Maya, Centro Canalejas Madrid and the Old War Office, in London. The Mayakoba project has continued its consolidation as a world reference in luxury tourism in Riviera Maya, in a year that is particularly relevant in terms of expanding projects. On the one hand, progress has continued in Hotel Andaz (Hyatt Group), the fourth in the first phase of the project, which is expected to open its doors in late 2016; on the other hand, in Ciudad Mayakoba, purpose vehicles for the three projects formalized the previous year have been formed with co-investors and co-developers. Furthermore, after a halt in activity due to the regional and municipal political calendar, work on Centro Canalejas Madrid has recommenced and is making good progress following the institutional agreement reached with the new public administration. Thus, the following milestones were reached in 2015: Completion of the construction works covered by phase 1 of the license: excavation, foundations and run-on slab. Presentation of a Basic Project which, once approved by the Local Committee for Historic Heritage in December, led to procurement of license 2A (structure) on 25 January OHL Desarrollos reached a turnover of 125 million euros in 2015, with an increase of 27.2% over the previous year and a strong operating performance Following the acquisition, in December 2014, in a joint venture with the Indian Hinduja Group, of a long-term lease over the Old War Office building, at 57 Whitehall, London, former headquarters of the British War Office and, consequently, the offices of Sir Winston Churchill, progress has been made in the entire planning and strategy phase; subsidiary companies for ownership and development have been established, and a team has been set up for the project s development. Furthermore, work has been completed in preliminary technical tasks. 53 Position of OHL Desarrollos Development of unique projects for combined use and of the highest quality, run by the most prestigious hotel chains in the world. 3 TOURIST AND HOTEL SECTOR The OHL Development division was created in 2001 in order to locate strategic opportunities for the OHL Group s diversification in the tourist and hotel development sector. The tourist development sector is one of the most rapidly growing markets in the world. As the economy is gradually consolidating its recovery, particularly in the North American market, the number of tourist and average money spent also increase, which is particularly beneficial for the hotel sector, amongst other industries. In some areas of the world, particularly in Latin America and Asia, a large economic increase in tourism is being registered, particularly in the luxury sector. Over 2015, growth in the Mexican tourist industry has been consolidated and promoted, to particularly include Riviera Maya, which has welcomed more than four million visitors, where OHL Desarrollos plays a very relevant role as developer of the Mayakoba tourist complex. All three hotels in operation in Mayakoba reached in 2015 an average occupancy of 62.6% This complex has also benefited from a positive trend in the sector. In 2015, Mayakoba registered and average weighted occupancy rate amongst its three hotels of 62.6%, exceeding the 60.2% registered in 2014; it has increased its average daily rate per room by 4.6%, from 458 to 479 USD, and by 9.1% the income/available room ratio, from 275 to 300 USD. These ratios have enabled an increase in Mayakoba s recurring income figure from 112 to 120 million USD, constituting a 7.1% increase. RELEVANT ACTIVITIES MAYAKOBA TOURIST COMPLEX Mayakoba, in the Mexican Riviera Maya, is one of the most exclusive tourist complexes in the world, and the core of the OHL Development division km away from Playa del Carmen, it has three 5-star Deluxe hotels in operation, run by three of the most prestigious international hotel chains: Fairmont (401 rooms), Rosewood (128 rooms) and Banyan Tree (132 rooms), as well as a golf course, El Camaleón, designed by Greg Norman, which has made history by being the first to host an official tournament of the prestigious PGA Tour outside U.S.A. and Canada. The first phase of this complex will be completed with two new hotels. To achieve this objective, over 2015 very relevant progress has continued in development of the Andaz Hotel (Hyatt s lifestyle brand), which began in late The fourth hotel in this first Mayakoba phase will have 213 rooms and will be a top-quality asset complementing the other three hotels. During 2015, the hotels and facilities under exploitation have continued to increase their prestige and quality features in 2015, improving their international recognition even more, as reflected in the important acknowledgments received, amongst others. Thus, the Fairmont, Rosewood and Banyan Tree Hotels, once again this year, have obtained the AAA Five Diamond Award, the top score awarded by the U.S. American Automobile Association (AAA), granted to less than 0.3% of the more than 50,000 hotels ranked by this association.

4 In 2015, Mayakoba has had the privilege of hosting a new edition of the Mayakoba Golf Classic, PGA Tour, as part of the 2013 agreement reached to celebrate tournaments until 2018, inclusive. The OHL Classic at Mayakoba tournament, well-known in the world s golf sector, is assigned an entire week, in November, in the PGA circuit. CIUDAD MAYAKOBA Over the 2015 financial year, progress has continued in development of the first middle income housing project, Senderos de Mayakoba, with the construction of primary infrastructure and the sale of units. Furthermore, development has begun in another two projects, one for middle income/social housing (referred to as Lagunas de Mayakoba) and other social housing (known as Jardines de Mayakoba). In the overall region of Playa del Carmen and the state of Quintana Roo, Ciudad Mayakoba has already become an inescapable reference as a real estate project based on consistency, extensive planning, quality excellence and respect for sustainability in local surroundings and culture. Furthermore, work has continued in the group of social and urban infrastructures planned for the surroundings. As a result, an agreement has been signed with the municipality of Solidaridad to donate and develop a large central park in Ciudad Mayakoba, which will have a very positive impact on the overall surroundings and local community. These projects mark the start of materialization of OHL Desarrollos s aim to develop the most important real estate project in Riviera Maya, providing a response to a huge demand for sustainable, consistent and orderly urban development, providing decent housing alternatives for Mayakoba s most valuable asset: its persons. 55 Ciudad Mayakoba covers the entire development of 408 hectares (ha) in terms of surface area, separated into three specific zones to hold the various real estate products, depending on different market segments and demand: 1. The middle-income social residential area known as Parques de Mayakoba, with a surface area of 221 ha, to include homes for development professionals working in Mayakoba and the surroundings of Riviera Maya, where there is a great shortage of housing for this type of purchaser. The area will be endowed with services, public parks, shopping areas, school and social facilities, facilitating the optimum integration of its inhabitants. 2. The luxury residential area Mayakoba Country Club, 165 ha, has been designed as a luxury tourist residential complex, associated to Mayakoba brand and quality; a top-level residential real estate development is planned,

5 to cover first and second home needs, with a social club, top-quality 18-hole golf course and member beach club. 3. 3) Finally, the Mayakoba Village commercial area will assign 23 ha to an open shopping center arranged as a village, with shops offering various internationally renowned brands to tourists and local residents. Ciudad Mayakoba contemplates a sustainable development in three specific areas with different real estate products. CENTRO CANALEJAS MADRID Centro Canalejas Madrid, with an investment of approximately 500 million euros is estimated, has already represented a huge catalyst for the city of Madrid, because it will recover rich historic/cultural heritage in its vital city center, and also because the revaluation of its surroundings, a tourist and commercial backbone made up of Plaza de Cibeles, Puerta del Sol, the Royal Palace and even Madrid s emblematic Gran Vía, where many measures have been completed further to the Canalejas project. Since the seven adjacent buildings were purchased in December 2012 (located between calle de Alcalá, Sevilla, Plaza de Canalejas and Carrera de San Jerónimo), until now, significant progress has been made and Centro Canalejas Madrid is expected to be fully running by late Over the 2015 financial year, development speed in Centro Canalejas Madrid has slightly slowed down due to certain differences of opinion in the former government and the time required by the new administration to examine the project. Nevertheless, works are now running at full speed following the various agreements reached in Thus, last October, an institutional agreement to back up the project was reached with the General Directorate of Cultural Heritage of the Regional Government of Madrid, the City Council of Madrid and the Madrid Association of Architects. At the same time, true to its commitment to respect the original buildings to the maximum, OHL Desarrollos has continued to restore all interior heritage components. Centro Canalejas Madrid is, without a doubt, an ambitious and large-scale project, which will come to light in late 2018 thanks to the experience and technical capacity of OHL Desarrollos and the Villar Mir Group in this type of development, their economic solvency and consolidated prestige, enabling them to establish alliances with the most prestigious hotel chains and to take on projects of great technical difficulty. In October 2015, an institutional agreement to back up Canalejas was reached with the Community of Madrid, the City Council of Madrid and the College of Architects of Madrid

6 Centro Canalejas Madrid is expected to be fully running by late The Centro Canalejas Madrid complex, for combined use and a surface area of 50,000 m², represents a high-profile project for the city, both in terms of size and its future role as an international tourist destination, endowing Madrid with an iconic space equivalent to that of other leading European capital cities. Centro Canalejas Madrid, with uniform treatment for the buildings and a horizontal use layout, will include: A Deluxe 5-star hotel managed by Four Seasons, with 202 rooms. It will be the first in Spain belonging to this hotel chain, one of the world s most prestigious. 22 homes with the Four Seasons brand. An exclusive shopping area, with luxury national and international brands, becoming a reference in the city. A bank. A 400-space parking lot (approximately). Contribution of Centro Canalejas to Madrid city: Attraction of wealth and generation of new quality jobs. Recovery of a unique architectural complex, endowing Madrid with a new architectural, cultural and leisure icon, to include the first Four Seasons Hotel in Spain, a 5-start Deluxe hotel run by an international chain of reference. Promoter of urban recovery, from many points of view- social, economic and urban planning- to name a few. Recovery of a vital spot in Madrid, impulse of the economic activity by constructing a cosmopolitan space as a pole to attract both national and international tourists. 57 OLD WAR OFFICE OHL Desarrollos, in a joint venture with the Indian Hinduja Group, obtained a long-term lease for the Old War Office building, in London, to develop this project with a similar philosophy of the Centro Canalejas Madrid. Located at 57 Whitehall, this emblematic building will be restored and renovated to accommodate a 5-star hotel and residential homes, and will also have private rooms, a spa and gym. As the former headquarters of the British War Office and, consequently, the office of Sir Winston Churchill, the building was constructed during the years between the beginning of the XX century and the outbreak of the First World War. With a

7 priceless contribution to the city s history and heritage, the Old War Office has witnessed significant events, particularly the two world wars, and crucial decisions have been taken within its walls, something that is particularly significant in the one-hundred anniversary that is now being celebrated. Over the 2015 financial year, OHL Desarrollos has incorporated the necessary companies to begin an analysis of the project. It already has an office in London and a highly experienced and qualified team to undertake the project s development. In early 2016, OHL and Hinduja groups completed their purchase of the emblematic Old War Office building, in London. At the beginning of 2016, preparatory and technical analysis tasks will continue in order to submit a project for a license application, as well as the process to select a hotel operator and to procure the necessary funds to finance the project. Furthermore, on 1 March 2016, the building s lease will be formally and fully acquired, completed with a loan for 75% of its purchase price. EXPANSION OF OHL DESARROLLOS 58 As a complement to these relevant projects, OHL Desarrollos has continued with its growth and business development strategy in the sector, analyzing various opportunities on the international market. The experience and know-how acquired in the Mayakoba and Canalejas projects have allowed OHL Desarrollos to consolidate its market position as a global developer of top-quality projects. As a result, the division intends to capitalize this prestige and experience by contributing its services to other investors looking for a global developer.
