After graduated in Economics from the Faculty of Economics, University of Ljubljana, Slovenia in 1968, Mr. Čok started his first working experience at Luka Koper (Port of Koper). He worked until 1973, covering various heading positions, such as: Acting Director of Luka Koper, Director of Finance Department, Head of R&D Department, and Head of Planning and Analysis Department. 1

2 In 1978 until 1980 he held the position of Deputy President of the Board of Directors of Banka Koper and from October 1980 till October 1981 he was appointed Managing Director of Cimos Koper (Automotive Industry). From October 1981 till January 2009 he raised to the position of President of MB of Banka Koper d.d Slovenia. From January 2009 Mr. Čok is retired. Paolo Genovese, Deputy Chairman In June 2014 he has been appointed as member of Board of Directors for Intesa Sanpaolo Bank Albania. Mr. Genovese s working experience is highly dedicated to Credit Risk Sector with Intesa in Italy and with Intesa out of the home country. At the same time he has a vast experience in that area even with other banks in Italy. From April 2007 to Dec 2009, he was the Chief Risk Officer for KMB Bank Moscow, ( ISP Group). Other position with Banca Intesa Network was Head of Risk of Treviso Area/Region from 2004 to He worked in Milan Head Office during the years first as Member of Head Office Credit Unit, then as Responsible for Credit Analysis & Monitoring of Italian Branch Network. He was Head of Credit Secretariat of London Branch with Banco Ambrosio Veneto from 1992 to From July 1989 to December 1991, Head of Credit Department in Banca Vallone Galatina (LE) bank controlled by Banco Ambrosio Veneto. Whereas with Banca Cattolica del Veneto he hold these positions: Credit Analist, Deputy Branch Manager of Belluno and S.Maria del Rovere (Treviso), Head of Credit Secretariat Office of Verona & Treviso Area. He started his employment career in May 1977 as Branch Employee in Banca Cattolica del Veneto, Filiale di Gaiarine. Mr. Paolo Genovese has a Bachelor Degree in Economia e Commercio from the University Ca Foscari Venezia. Rosario Giacomo Strano, (International Subsidiary Banks Division Head of Resources & Governance Department) Since September 2009, after the re-organization of the International Subsidiary Banks Division of Intesa Sanpaolo, he has been appointed as Head of Resources & Governance Department (Human Resources, Governance Systems and, until October 2013, also IT and Legal). Furthermore he is Member of the Board of Directors in Intesa Sanpaolo Bank Albania, Bank of Qingdao and Banca Intesa Russia. From January 2007 to August 2009 he was the Head of Human Resources and Organization of the International Subsidiary Banks Division of Intesa Sanpaolo. He joined the Group in October 2002 (formerly Banca Intesa) where, until December 2006, he was appointed as Head of Human Resources and Organization of the Italian and International Subsidiary Banks Divisions. The position, reporting directly to the Head of the same Divisions, involved the 2

3 responsibility of Human Resources and Organization of all the Subsidiaries of the Group in Italy (12 Banks) and in the International perimeter (7 Banks in Europe and a diffused presence in Central & Southern America). After the merger and the re-organization of Banca Intesa and Sanpaolo IMI Networks, he maintained the responsibility of Human Resources and Organization of the International Network of the new Group. He started his professional career in 1989 in Banco di Roma from where he moved after a short period of time to join Alitalia where he remained for more than 8 years as Head of Human Resources and Industrial Relations at first in the Technical Division and afterwards in the Customer Service Division. In 1997 he left Alitalia to join the luxury hotel chain Baglioni Hotels where he was appointed as Human Resources Director. From 1998 to 2000 he took over the position of Head of Human Resources and Industrial Relations in ANSA, the Italian National Press Agency - leader in the sector - presents both in Italy and abroad with a widespread journalistic network. In May 2000 he joined Poste Italiane S.p.A. as Head of Industrial Relations of Central & Southern Italy until October He graduated cum laude in Law at the University of Bari. Salvatore Catalano, () In June 2014 he has been appointed as member of Board of Directors for Intesa Sanpaolo Bank Albania. Through several years Mr. Catalano working experience covers various memberships positions such as Chairman of Board of Directors and Chairman of Board of Auditors for many Entities, Foundations, State Institutions International Societies, Bank of Intesa Moscow, Sport Invest SPA etc. From November 2005 until December 2012, we can summarize the membership and the positions as follows: San Carlo Borromeo Hospital, Chairman of Board of Statutory Auditors; The Neurogical Institute Carlo Besta, member of Board of Statutory Auditors; Societa Arexpo spa, member of Board of Supervisory; Fondazione Universitaria Kore-University Kore of Enna, member of the Board of Directors and also member of the Board of Trustees; Chairman of Serenissima Partecipazioni s.p.a. Elena Breno currently holds the position of Head of Business Planning, Market Analysis and Country Advisory in the Planning and Control Department, ISBD, Milan. Ms. Breno s ëorking experience includes vastly managerial positions with ISBD and other prestigious institutions within and out the country. Mr. Pedrazzi started his journey as Chief Executive Officer of the Albanian division on 1st October He assumed this responsibility following a successful career of over 25 years in various entities of Intesa Sanpaolo Group. Mr. Pedrazzi was previously the Head of Commonwealth of Independent States (CIS) & South Mediterranean Area Department of Intesa Sanpaolo, a department devoted to management of the portfolio of the Subsidiaries located in the Russian Federation, Ukraine and Egypt. He started his career in the banking sector in 1978 working for different Italian savings banks and he joined Intesa Sanpaolo Group in In Italy, he held the duty of General Manager of Cassa di Risparmio di Spoleto and of Cassa di Risparmio di Ascoli Piceno. Board Member of the Italian Chamber of Commerce in Albania President of Foreign Investors Association of Albania (FIAA) Ilir Panda () Ilir Panda was born in Tirana on August 8, He graduated as a lawyer at the Faculty of Law at Tirana University in 1986, and completed several postgraduate qualifications organized by the European and United States institutions. He holds the Doctor grade. Mr. Panda has worked in several sectors of justice, starting in criminal prosecution bodies, in the codification department at the Ministry of Justice, as a lawyer, a lecturer in the School of Magistrates and other educational institutions. He was the Minister of Justice during and Deputy Chairman of Supreme Council of Justice during He has participated as an author in many working groups for drafting and revision of legislation, commentaries, manuals, newsletters, and important projects in the field of law. He is the author of several books and many articles in the field of law in several scientific and professional journals and magazines, as well as various translations. Mr. Ilir Panda has also been a Legal Advisor of the People s Advocate of the Republic of Albania, a local expert at the Council of Europe, UNICEF and other organizations. He was a member of the High Council of Justice of Albania during He is a member of the Council of Higher Education Accreditation, a member of the Council of Arbitration for Sport, in the framework of National Olympic Committee of Albania, and an expert of the Law Reform Commission at the Parliament of the Republic of Albania. He is a connoisseur of English and Italian language. 5
