4 THE HOTEL EULER Hotel Description and Location The Hotel Euler is a 4 Star Deluxe Hotel renowned for its charming architecture, combined with recently renovated, modern facilities and a culinary restaurant. Located in the heart of Basel, the Hotel Euler provides easy access to public transport, the airport and the exhibition centre of Basel. Restaurants, bars, shops and the main touristic sites are within walking distance you could not wish for a more centrally located hotel. How to get there Situated only 10 km from the Euro Airport Basel, the Hotel Euler is centrally located opposite to the central railway station. If you arrive at Basel airport, you can take bus no. 50, which takes you to the railway station in approximately 15 minutes. From there you only need to cross the main square for the tram-stations and the Hotel Euler is located on your left hand side. Position Plan ~ 1 ~

5 Restaurant / Lobby / Bar The lobby and the bar at the Hotel Euler are the perfect locations for an aperitif with friends or a drink when on leisure, while listening to live piano music. The Hotel Euler also offers a restaurant with an ample culinary variety and delicious dishes at fair prices. In our restaurant and on our well-known terrace we serve regional and international dishes with a mediterranean touch. Two different lunch menus are served daily, including a starter, the main course and a dessert. From spring to autumn, coffee and after work drinks are served or even a candle light dinner can be enjoyed in our splendid terrace. Salon Rouge This traditional meeting room with a classical decor is the ideal setting for a board meeting or private lunch/dinner and fits a maximum of 40 people. Located on the ground floor, it gives a relaxing yet dynamic atmosphere with day light. Projector and technology are on request. 6 Isola Bella This break out room is ideally located between the two large meeting rooms and fits up to 30 people in cocktail style. Located on the ground floor, this room can be incorporated in the total meeting space and does not have day light. Wiener Saal This newly refurbished traditional and spacious meeting room is ideal for cocktails, meetings or presentations. Located on the ground floor, it fits a maximum of 100 people. The room offers a relaxing atmosphere with ceiling day light. Technology is on request. 7 PLEASE DO NOT FORGET TO CONSIDER Flowers We can organize all kind of flower arrangements or special decorations for you. Please do not hesitate to tell us your wishes. Children For toddlers we can prepare a separate room, so that they can sleep. Child care can be arranged on request. Menu Card Menu cards are designed and printed by the hotel. This service is included in the price. Car Park Our parking space is limited, therefore public parking is recommended at Heuwage oder by the post office (only 2 minutes walk) Guests 48 hours before the start of the event, the final count of people must be given. This number is binding for the contract. Photographer A photographer or camera man can be organized on demand. Dancing Floor The Hotel Euler has a special dancing floor ideal for all type of events. ~ 4 ~

14 GENERAL TERMS AND CONDITIONS 1. Efforts The Hotel Euler is committed to execute the contract accurately. The hotel endeavors to do the event in a timely and free of errors manner. The food and beverage is of good quality. The reservation of conference and banqueting rooms as well as the agreement of other supplies and services are binding within a written confirmation 2. Valorisation Invoices of the Hotel Euler have to be paid within 10 days after the invoice date without discount. 3. Minor amendments Should there be any last minute changes in the market offer due to missing goods or severe raise of prices, the Hotel Euler reserves the right to slightly change its services in connection to product delivery, The Hotel Euler will take special consideration to the interests of the client and will ensure an equivalent completion of the contract.. 4. Number of participants The Hotel Euler expects to receive the final guaranteed number of participants three working days before the start of the event. Should there be changes within the three working days before the start of the event; the hotel will charge the initially guaranteed number of participants. 5. Cancellation a)if the event is cancelled and the Hotel Euler is not responsible for the cancellation, the hotel reserves the right to receive full payment of the costs by the client according to the date of the written cancellation, as follows: By usage of the conference-, meeting rooms, bed rooms, package rate and menu costs Days before event Cancellation charge 14 days + Nothing will be charged 14 till 7 days 50% of booked services and room rates 7 days till the date of the event 100% of booked services and room rates Agreed special services, which are going to ~ 11 ~ be useless due to the cancellation, have to be paid. b) If the Hotel Euler is in belief that the event jeopardizes the smooth operation of the business, the safety or the reputation of the hotel, the hotel is entitled to cancel the event without claims and further ado. c) If the Hotel Euler is not able to execute the event due to an act of God (fire, strike, etc) or because of unpredictable and unusual influences, the hotel is entitled to cancel the event without claims and further ado. 6.Damages a) The purchaser has to be held responsible for the loss and damage caused by his staff, outside assistants or event participants. It rests upon him to close an adequate insurance. The Hotel Euler has the right to ask for proof of this insurance. To prevent against any wall damages, the usage of decorative material or any other materials for the walls, an agreement by the Hotel Euler is required. At any rate the purchaser guarantees that these materials conform to the requirements of the fire police. The Hotel Euler has the right to ask for the proof of such insurance. b) The Hotel Euler is liable for loss and damage of brought items only if at actual fault.. 7. Third party and special services As soon as the Hotel Euler contractually provides technical equipment or other amenities from a third party, the Hotel Euler deals and charges in the name of the purchaser. The purchaser is liable for the accurate handling and proper return of the equipment or amenities and releases the Hotel Euler from any claims of a third party. The Hotel Euler charges commission fees for the rented technical equipment as well as for artists or musicians.

15 8. Food and beverages Food and beverages have to be dealed with the Hotel Euler. In particular cases (national specialities etc) another written agreement could be done subject to a service charge or bottle charge. 9. Advertisement / other publicity Advertisment and other publicity with advice to events in the Hotel Euler have to be confirmed in a written form by the hotel first. If there are publicities without confirmation, the Hotel Euler is allowed to cancel the event, in this case, Number 5 comes into effort. 10. Insurance The Hotel Euler defeats any kind of theft and damage of brought objects, clothes and materials. 11. Payment At a turnover of more than CHF the Hotel Euler imposes a prepayment of 30% on the event. In particular cases another written agreement could be done. The balance, inclusive possible addition as well as efforts of a third party, have to be paid within 10 days after the end of the event due to the detailed invoice. 12. Security deposit The Hotel Euler is entitled to require a reasonable advance payment or a security deposit from the customer in form of a credit card guarantee. If the payment shouldn t be paid by the time, the signatory is giving his consent irrevocably that the costs of the bill can be charged on the credit card which was given as guarantee. 13. Miscellaneous a) Basel is going to be arranged as the place of execution and the court of jurisdiction. The Hotel Euler does also have the choice to sue at the place of residence or at the domicile of the purchaser too. b) These general agreements as well as the agreements which have been done on that basis are subjects to the Swiss Law. c) Should one disposition of these general agreements be ineffective, this does not affect the validation of the rest of the agreements in case of doubt.
