1 KTDC HOTELS & RESORTS LIMITED LEASE OF SPACE FOR INSTALLATIONS OF ATMs TENDER NOTICE Sealed competitive tenders are invited from reputed banks for the lease of space at the properties of KTDC Hotels & Resorts Ltd. located in the State for the installation of ATMs. The bids are invited initially for a period of 3 years which can be extended up to 5 years. The premises are ready for inspection and can be inspected on prior notice. Tender forms can be had from the office of the Commercial Manager, KTDC Hotels & Resorts Ltd, Corporate Office, Vikas Bhavan. P.O., Thiruvananthapuram. PH upto 1 P.M. on 09/08/2012 during office hours on payment of Rs.1,041/- inclusive tax. The tender forms can be downloaded from the web page of KTDC Hotels & Resorts Ltd. and cost for the downloaded forms can be paid by way of DD along with the submission of tenders. The EMD will be Rs.5,000/- by D.D. for each ATM. Tender forms shall be received at the office of the Commercial Manager, KTDC Hotels & Resorts Ltd. till 4 P.M on 10/08/2012. Definition Annexure A Terms & Conditions Bank means the bank whose bid will be accepted and the lease awarded for the installation of ATMs in the property/properties of KTDC Hotels & Resorts Ltd. KTDC means KTDC Hotels & Resorts Ltd. having its Registered Office at Mascot Square, Thiruvananthapuram ATM. Unit means the KTDC property in which the bank intends to install their 2. CONDITIONS FOR THE LEASE OF SPACE. 1) The bank will enter into an agreement of lease for a period of three years with the KTDC H & R Ltd. within ten days after the receipt of the communication of the Acceptance of the tender by the KTDC, and deposit a security deposit equivalent to 6 months rent. The deposit is interest free and is to be repaid to the bank, on final vacation of the premises by the bank after the recovery of all the arrears of the rent, electricity charges, water charges, and amount payable for the common services. The bank shall pay monthly rent to the KTDC before 5 th of every month with the annual increase agreed to in the tender. The lease can be extended up to 5 years with revision of rent after three years in the same terms and conditions. 2) The bank shall use the said building exclusively for the installation of their ATM. 7

8 3) The bank shall continue to pay the rent in respect of the said building regularly and punctually without any delay or default, and is entitled to obtain receipt thereof from the KTDC. In case of defaults exceeding 3 months, the KTDC may immediately terminate the lease. 4) The bank shall pay electricity and water charges without any delay or default. 5) The bank shall pay bills presented by KTDC in relation to maintenance of the common areas, water supply and security as applicable to the said building regularly and punctually without any delay or default. 6) At all times during the term of the lease, the bank shall keep and maintain the said building with all its fittings and fixtures in proper condition. 7) The bank shall not make any alterations in the said building without the previous written consent of the KTDC. 8) The bank shall not use the building so as to destroy or reduce its value or utility in any manner. 9) The bank shall neither sublease nor allow the building or any part thereof to be occupied by anybody else. 10) On the expiry of the aforesaid period of 3 years or earlier by three months notice on either side, the bank shall vacate and hand over the building to the KTDC in good condition as it was at the time of taking the building on lease after removal of all fixtures if any owned by the bank. 11) The bank shall permit the KTDC officials at all reasonable times to enter into the building to inspect the conditions thereof and to point out any defects to be repaired. 12) Two original copies of the lease agreement shall be executed and one copy shall retained by the KTDC and one copy shall be retained by the bank. 8

9 13) If the bank commits any breach of the conditions or covenants herein, the lease shall be terminated at the option of the KTDC, who shall be entitled to recover all the arrears of the rent, electricity charges, water charges, and amount payable for the common services. All damages for breach of contract will be levied from the bank and evict the bank with out further notice and to resume possession of the said space. 14) The bank may keep their sign boards exhibited in front of the space allotted after getting the approval from the KTDC. 15) All decisions taken by the KTDC represented by the Managing Director or Board of Directors of KTDC regarding this lease shall be binding on the bank. 16) Taxes if any liable to be paid by the bank to the Central Government/State Government/Local bodies shall be paid by the bank then and their and the bank will be solely responsible for any legal action due to non remittance of the taxes. 17) The KTDC shall be responsible to obtain approval for all necessary licenses from the concerned authorities who required from the State, Municipal or any other authority for the purpose for carrying on the business. 18) The KTDC may at any time at their discretion call upon the bank to remove its goods from the licensed space and give alternative space for the purpose of its business. The KTDC shall endeavor to give such alternative space on license which is reasonably equivalent to the licensed space. In case the alternative space is not acceptable to the bank, the lease shall be terminated by giving one month notice. 19) The bank shall comply with all the directions, general or special, as may be given by the KTDC from time to time, which shall be deemed to be part of this contract. The KTDC may vary, delete and withdraw such directors from time to time. 9

10 3. Safety & Security It is the sole responsibility of the bank for the safety and security of the ATM installed. The bank should make provisions from the perils of the theft or fraudulence or vandals of the ATMs and KTDC in no way shall be held liable for any theft on fraudulent activities. 4. Locations The premises of the properties given in the annexure shall be inspected by the intending banks before the submission of tenders. If any structural modification required, the modifications can be carried out with the prior approval of KTDC Hotels & Resorts Ltd. I / we the undersigned having gone through the tender documents inspected the site / premises conducted due diligence and having read all terms and conditions thereof, submit the following tender documents. a) The tender format and terms and conditions in the annexure thereto duly signed by me/ us in token of having read understood and agreed to the same. b) We agree to abide by all the terms and conditions as contained in the tender documents.
