3 INTRODUCTION Hotelbeds Group a leading bedbank and a business-to-business (B2B) provider to the global travel industry. The Group s proprietary technology helps providers of travel services distribute their offering to travel sellers globally via an easy-to-use, advanced technology platform that increases reach, revenue and yield for both the provider and the seller. Additionally the Group also owns and operates several B2B related travel brands, offering in-bound destination services (for example tours or transfers) in around 40 countries, shoreside cruise solutions and more. In September 2016 Hotelbeds Group was acquired by Cinven and the Canada Pension Plan Investment Board. In June 2017 Tourico Holidays became part of Hotelbeds Group and in October GTA also became part of the Group, with both businesses operating as business units within the Group whilst their integration progresses. 3

4 The company is arranged into the following units: Bedbank The Bedbank unit is one of the main units of the group, focussed on contracting, connecting and distributing efficiently a hotel portfolio of more than 170,000 hotels in more than 185 countries worldwide. Destination Management Destination Management (DM) division is formed by three specialised global brands, which jointly work in order to provide services in destination worldwide. BRANDS BRANDS Hotelbeds is the world s leading Bedbank, delivering hotel accommodation, excursions, tickets, transfers and car hire to travel suppliers and distributors across the industry. Destination Services is a leading provider of incoming services to the travel trade through a global network of local destinations. Bedsonline is the global provider of online accommodation and ancillary products which exclusively caters to travel agencies worldwide. Intercruises is the number one provider of ground turnaround, shore excursion, port agency and hotel services to the ocean and river cruise industry globally. Powering global travel, GTA provides easy access to a wide portfolio of accommodation options, transfers, and tours & activities to the travel industry working with some of the biggest and best online travel agents, tour operators, and traditional travel agents. Pacific World offers meeting and incentive solutions across all continents. 6 FACTS & FIGURES The offering: Hotelbeds Group offers travel providers access to a network of over 35,000 travel sellers from around 120 source markets globally. Travel sellers have access to over 170,000 hotels (from 185 countries), +21,000 transfer routes (in 140 countries, with +700 destinations) and +12,000 activities (in +120 countries with +650 destinations) and 142,000 car rental products (in over 1,900 destinations across 150 countries). Advanced API makes XML connectivity access simple and quick plus white labelling and widget solutions on offer. The technology platform handles around 1 billion data requests per day with peaks of up to 1.5 billion from users worldwide.. The performance: Around 47 million room nights sold each year.* The leading bedbank globally. 8 DID YOU KNOW? Currently the company is working with Amazon Web Services to transition to an open-source, cloud-based IT infrastructure. There are 9 call centre hubs with around 400 employees providing support 24/7 in 20 languages. In the Transfer & Activities Bank (TAB) there are amongst many other activities tickets for Disneyland, Barcelona Football Club, and Cirque du Soleil. Leading hotel chains such as Hilton, IHG and AccorHotels are available to travel sellers via the platform. Including well known online travel agencies such as Getaroom.com and tour operators such as TUI Deutschland, Amoma, Prodo, Travel Republic or British Airways Holidays. In 2015 Hotelbeds Group and its companies won 8 awards, including Bedsonline winning the Travel TTG award. In 2016 Hotelbeds Group was awarded best Company to work for in Spain by Actualidad Económica magazine and Best Online Travel Wholesaler at Travel Weekly Asia s 2016 Readers Choice Awards. EasyJet has an exclusive partnership with Hotelbeds Group, via the Easyjet Holidays brand. The head office is one of the biggest single sites in Mallorca. 8 In 2015 the company launched APItude, the fastest and lightest API on the market, and Maxiroom, a hotel partner portal. Both platforms are designed to be simpler, faster, smarter and easier to use to enhance the Hotelbeds experience.

10 SENIOR MANAGEMENT Joan Vilà Executive Chairman Joan Vilà is the Executive Chairman of Hotelbeds Group, which includes the world s leading B2B bedbank that serves the global travel industry. The role of Hotelbeds in the accommodation market is to connect two very fragmented ends. On one side the hotels and on the other the B2C intermediaries (tour operators, travel agencies, OTAs, etc). Hotelbeds provides efficient capillary distribution to the hotels and hotel availability at competitive rates to the B2C intermediaries. Joan has led Hotelbeds from its creation in 2001 and for 13 years was also Group Management Board member of First Choice Holidays PLC and TUI Travel PLC. Holding an MBA from IESE, Joan has also completed the Senior Executive Program at Columbia Business School. He is Vice-Chairman of the JSF Travel & Tourism School, partnered by IESE and Wharton. Hotelbeds Group was acquired in September 2016 by Cinven and the Canada Pension Plan Investment Board. Carlos Muñoz Managing Director, Bedbank Carlos Muñoz is Bedbank Managing Director at Hotelbeds Group, a leading B2B bedbank part of Hotelbeds Group. Carlos started his career in the Aeronautical and Telecommunication industries, with positions at Retevisión, BT and GMV. He has been in the travel industry since 1999 when he joined the Barceló Travel Group. 10 Hotelbeds Group became an independent company in September 2016 under the ownership of Cinven and the Canadian Pension Plan Investment Board.

Sam Turner Sales Director Sam Turner is the Sales Director at Hotelbeds Group, a leading bedbank and the business-to-business provider of services to the travel industry globally.

11 Sam Turner Sales Director Sam Turner is the Sales Director at Hotelbeds Group, a leading bedbank and the business-to-business provider of services to the travel industry globally. He started his career in finance within the UK s National Health Service (NHS) operating across a range of financial disciplines over a 3 year period before joining Britannia Airways, in late 2000 that subsequently became part of TUI AG. Sam went on to hold various senior finance roles within the mainstream sector of TUI culmination in his responsibility as Director of Finance, Performance and Planning following the creation of TUI Travel PLC in In 2008, he joined The Accommodation & Destinations business of TUI Travel PLC as Finance Director- now Hotelbeds Group- assuming responsibility for the global finance & strategy functions. Since December 2014, Sam became Sales Director at Hotelbeds Group being responsible for leading the customer acquisition & account management processes across all channels through the leadership of the global sales teams. He is an Associate of the Chartered Institute of Management Accountants. 11
