2 HOTEL AGREEMENT This Agreement made on is entered into by Nevada Palace, LLC dba Eastside Cannery Casino Hotel, 5255 Boulder Highway, Las Vegas, NV ("Hotel") and Our Lady of La Vang Festival 2016, 4835 S Pearl St. Las Vegas NV89121,("Group"): 1. GROUP ACCOMMODATIONS 1.1 Group has reserved a total of 420 room nights ("group block") according to the following pattern: Day Date Thu 10/19/17 Fri 10/20/17 Sat 10/21/17 Sun 10/22/17 Mon 10/23/17 Deluxe Rooms Check out Total Check out 1.2 Early arrivals and late departures, other than listed above, and additional rooms required above the group block are subject to availability and prevailing "rack" rates at the time the request is made. 2. GROUP RATES 2.1 Hotel extends and guarantees to Group the following room rates, per room, per night, based on single or double occupancy. In the event group requirements drop below ten (10) rooms, the group will be subject to prevailing rack rates at the time of arrival. 3. COMPLEMENTARY Hotel will provide the following complementary rooms for Our Lady of La Vang: Five (5) Complementary Deluxe rooms for 10/20/16 to 10/22/16. Names for complementary rooms will be provided by Curtis Lew to Joana Solis via at jsolis@canneryresorts.com no later than October 11, These complementary rooms are predicated on a minimum guestroom pick-up of eighty percent (80%) on a cumulative basis of the room nights outlined in Section 1 of this Agreement. Should the guest pick up fall below this number, the concessions may be adjusted at Hotel s discretion. 4. ADDITIONAL ROOM RATE CONDITIONS All room/suite rates are net, non-commissionable and are subject to Clark County Room Tax,

3 Page 2 of 4 currently at twelve percent (12%), and subject to change. The room rate charged to the end-user shall not be greater than the rate provided by the Hotel to Meeting Group without the expressed written consent of Hotel. 5. RESERVATION PROCEDURE Telephone Reservations Reservations will be telephoned directly to Hotel Reservation Department toll-free at or local at Twenty-four hours a day, Seven days a week (24/7). In order to receive the group rate, callers must identify their affiliation with LAVANG and mention group code: LAVANG. Guest will have to confirm their reservations prior to the cutoff date. Rates will not be changed at check-in or check-out for guests who fail to identify their affiliation at the time the reservation is made. 6. CUT-OFF DATE 6.1 The cut-off date is the last day that Hotel will accept Groups room reservations. The cut-off date is September 30, If the group room rate is not available after the cut-off date, the prevailing "rack" room/ rates will apply for any reservations requested by Group. 6.3 All unused Group rooms will revert back to Hotel for general sales after the cut-off date. 7. GROUP BILLING, DEPOSITS & PAYMENTS 7.1 Unless otherwise indicated, Group will be responsible for: i) The guaranteed arrivals only for the entire group. The individual guests are responsible for their own room, tax, incidental charges and security deposit. ii) At the time of making reservations the first night room and tax will be charged to the credit card number provided by the guest. Additional nights will be charged at check out. 8. CHECK-IN / CHECK OUT 8.1 A valid picture I.D. and a credit card are required upon check-in. A credit card or cash deposit of $75.00 will be required at check-in to guarantee incidentals. Each credit card will be authorized (not charged) for $75.00 which will be released at check-out. Funds from a debit card will be shown as a charge. 8.2 Guest check-in time is 3:00 p.m. Pacific Time. If rooms are requested prior to check-in time, early arrivals will be accommodated only when rooms become available. Guests must be at least twenty-one (21) years of age or be accompanied by someone at least twenty-one (21) years of age to check in. 8.3 Check-out time is 12:00 p.m. Noon Pacific Time.

4 Page 3 of 4 9. INCIDENTALS A credit card deposit is required in order to charge meals or other services to your room. 10. PETS Pets are not allowed at the hotel unless they are for medical reasons. Guest may be asked to leave the premises should this policy is violated. 11. CANCELLATION POLICY 11.1 Hotel must receive a written notice for any cancellations. Verbal notice of cancellation is invalid and will not be accepted Blocks cancelled within thirty (30) days prior to arrival will be subject to a penalty of the first night s room and tax for each room. Individual reservations within a group block may be cancelled up to seventy-two (72) hours prior to arrival without penalty. Individual reservations within a group block cancelled within seventy two (72) hours prior to arrival will be charged the first night s room and tax If the Group reserves the booking thirty (30) days or less prior to the arrival date, there shall be no right of cancellation once the Agreement is signed. If Group Cancels this Agreement, Hotel shall be entitled to receive the total amount of room and tax contracted for the entire group. 12. GOVERNING LAW Should a dispute arise as to enforceability or breach of any term of this agreement, the parties agree to submit their dispute(s) to an appropriate court located in Las Vegas, Nevada under the rules of the American Arbitration Association. Pursuant to such arbitrator s determination, the prevailing party in said arbitration shall be entitled to the reimbursement of its cost and expenses, including but not limited to, reasonable attorneys fees. 13. FORCE MAJEURE If acts of God or government authorities, natural disasters, or other emergencies beyond a party s reasonable control make it illegal or impossible for such party to perform its obligations under this Agreement, such party may terminate this Agreement upon written notice to the other party without liability. 14. CONTRACT DUE DATE This signed contract must be received and acknowledged by the Hotel no later than: December 1, 2016 rooms are released. CONFIRMATION
