H3Z 1E2 Le Conseil conclusion autorise la d'une entente intermunicipale entre les Villes de Hampstead, de Mont-Royal, d'outreinont et de Saint-Laurent ainsi que les Cites de Cote Saint- Luc et de Westmount pourvoyant entre autre I 1'acquisition et 1'utilisation d'un systeme de communication local et intermunicipal pour les services d'incendies desdites municipalites, le tout tel que decrit au long dans ladite entente dont copie est annexee au present reglement comme Cedule "A" pour en faire partie integrante et dument authontifiee par les officiers autorises; le maire ou le maire suppleant et le greffier ou le greffier adjoint sent autorisds a signer ladite entente. Council authorizes the execution of an intermunicipal agreement between Town of Hampstead, Town of Mount-Royal, City of Cote Saint- Luc, City of Outremont, City of Saint-Laurent and City of Westmount providing, inter alia, for the acquisition and use of an inter municipal and local radio communication system for the Fire Departments of the said municipali ties, the whole as set out in tlie said agreement, a copy thereof being hereto annexed as Schedule "A" to form an integral part hereof and being duly certified for identification by the authorized signing officers; the Mayor or the Pro-Mayor and City Clerk or the Assistant City Clerk are hereby authorized to execute the said agreement for and on behalf and in the name of the City of V/cstmount. 5 - 3 LESQUELLES CONVIENNENT DE CE QUI SUIT: WHICH HEREBY AGREE AS FOLLOWS: 1. Les parties acceptent d'acheter et d'operer en commun cette partie d'un systeme de communication (ci-apres designee "LE SYSTEME CO^^MUN") decrit comme tel dans la cedule "A" annexee a la presente entente, pour en faire partie integrante, et dument authentiquee par les officiers autorises de chacune des parties 2. Les parties designent la Cite de Westmount comme mandataire et fiduciaire: (a) pour acheter le SYSTEME COMMUN au nom et pour le benefice des parties; (b) pour remettre aux villes de Saint-Laurent et d'outremont la partie de ce systeme qui sera opdree par chacune d'elles; (c) pour conclure des contrats de services a cet effet; et 1. The parties agree to purchase and to operate in common that part of a radio communication (hereinafter called the "COMMON SYSTEM") described as such in Schedule "A" annexed to the present agreement, to form an integral part hereof, and duly certified for identification by the authorized signing officers of each of the parties. 2. The parties designate the City of Westmount as mandatory and trustee: (a) to purchase the COMION SYSTEM in the name and on behalf of the parties; (b) to deliver to the Cities of Saint-Laurent and Outremont that part of such system which is to be operated by each of them; (c) to enter into service contracts with respect thereto; and (d) pour conclure des contrats afin d'acquerir et/ou louer des lignes et/ou de I'appareillage de communication requis pour operer le SYSTEM COMMUN. (d) to enter into contracts to acquire and/or lease communi cation lines and/or equipment required for the operation of the COMMON SYSTEM. 3. La Cite de Westmount accepter 3. The City of Westmount agrees: (a) d'acheter au nom et pour le benefice des parties le SYSTEME COMMUN; (b) de remettre aux villes de Saint-Laurent et d'outremont et de faire installer la partie de ce systeme qui sera operee par chacune d'elles; (c) d'obtenir les permis necessaires pour 1'operation du SYSTEM COMMUN; et (a) to purchase in the name and on behalf of the parties the COMMON SYSTEM; (b) to cause to be delivered to the Cities of Saint-Laurent and Outremont that part of such system which is to be operated by each of them and to cause the same to be installed; (c) to obtain the applicable license (s) for the COMMON SYSTEM; and

Les villes de Saint-Laurent et d'outremont acceptent: (a) de recevoir de la CitS de Westmount la partie du SYSTEME COMMUN qui sera opdree par chacune d'elles et d'en permettre 1'installation; et (b) d'operer pour le benefice des parties cette partie du SYSTEME COMMUN qui lui sera livree par la Cite de Westmount. (d) to cause the whole of the COMMON SYSTEM to be repaired as required for the benefit of the parties and to operate for the benefit of the parties that part of the COMMON SYSTEM which will remain in its possession. 4. The Cities of Saint-Laurent and Outremont agree: (a) to receive from the City of Westmount that part of the COMMON SYSTEM to be operated by each of them and to permit the installation thereof; and (b) to operate for the benefit of the parties that part of the COMMON SYSTEM which will be delivered to each of them by the City of Westmount. 5. La Cite de Westmount accepte de conclure des contrats de ser vices en ce qui concerne le SYSTEME COMMUN et de conclure des contrats d'acquisition et/ou de location de lignes et/ou de 1'appareillage de communication requis pour 1'operation du SYSTEME COMMUN (lesdits contrats etant ci-apres designes "CONTRATS D'OPERATION"). (b) one-third (1/3) on the basis of their real estate assessments, taxable and non-taxable; such real estate assessments to be determined for each party by the applicable Valuation Roll, each party paying the share of the said one-third (l/3)part of the cost that is equal to the proportion that such party's said real estate assessments bear to the aggregate real estate assessments of all of the parties in the year during which the cost in question is incurred; and (c) one third (1/3) divided equally among the parties. 6. The City of Westmount agrees to enter into service contracts with respect to the COMMON SYSTEM and contracts to acquire and/or lease communication lines and/or equipment required for the operation of the COMMON SYSTEM (the said contracts being hereinafter collectively called the "Operating Contracts"). 7. The City of Westmount will receive invoices for the cost of purchasing, installing, operating, repairing and maintaining the COMMON SYSTEM and/or pursuant to the Operating Contracts in accord ance with the provisions thereof, and will immediately invoice the other parties for their respective shares thereof in accordance with the provisions of paragraph 5 of this agreement. Such invoices to be payable within thirty (30) days after their respective dates after which they will bear interest on demand at the rate then payable by the City of Westmount on its temporary borrowings.

Each of the parties designates the City of Westmount as mandatory and trustee in the name and on behalf of each party: (a) to purchase the equipment constituting the local radio communication system for such party (hereinafter called the LOCAL SYSTEM) described as such in Schedule "B" annexed to the present agreement, to form an integral part hereof, and duly certified for identification by the authorized signing officers of each of the parties;and (b) to deliver or cause to be delivered to such party that party's LOCAL SYSTEM and to cause the same to be installed. 9. Ces factures seront payables dans les trente (30) jours de leur reception par les parties apres quoi elles porteront interet sur deraande au taux alors en vigueur sur les emprunts temporaires contractes par la Cite de Westmount. 12. La Cite de V/estmount fera en sorte que le fournisseur offre a chacune des autres parties un contrat de service concernant son SYSTEME LOCAL et la partie concernee pourra, mais n'aura aucune obligation d cet effet, conclure un tel contrat. 13. Chacune des parties accepte d'effectuer les paiements selon les modes et conditions specifies dans la presente entente. 14. II est spdcifiquement entendu par les parties qu'il est essentiel pour la securitd publique que le systeme de communication (incluant le SYSTEME COMMUN et chacun des systemes locaux) soit en operation continuelle. En cas de defaut d'accomplissement d'une obligation contractee par les prdsentes par une ou plusieurs parties, I'une ou plusieurs des parties non fautives pourront prendre tous les moyens necessaires (en plus et non a la place des recours prevus par la presente entente ou par la loi) afin d'assurer 1'operation du systeme de communication en tout temps. 11. The City of Westmount will receive invoices for progress and final payments from the supplier for each LOCAL SYSTEM in accordance with the provisions of the contract entered into between the City of Westmount and the supplier and will immediately invoice each of the other parties for the shares of such invoices applicable to that party's LOCAL SYSTEM. Such invoice is to be payable within thirty (30) days after their respective dates after which they will bear interest on demand at the rate then payable by the City of Westmount in its temporary borrowings. 12. The City of Westmount will cause the supplier to offer to each of the other parties a service contract with respect to that party's LOCAL SYSTEM and such party may, but shall not be obliged to, enter into such contract. 13. Each of the parties agrees to make the payments as specified in this agreement upon the terms and conditions herein set forth. 14. It is specifically agreed by the parties that it is essential as a matter of public safety that the radio communication system (including the COMMON SYSTEM and each LOCAL SYSTEM) operate continuously. In the event of a default in the performance of any obligation hereunder by any one or more of the parties, any one or more of the non-defaulting parties may take any and all steps necessary (in addition to and not in lieu of any other recourse permitted by this agreement or by law) to ensure that the said radio communication system is maintained in operation at all times.

10 15. La presente entente est pour une duree de dix (10) ans a compter de 1'entree en vigueur du reglement conformenient a la loi. II est specifiquement entendu qu'aucune partie a la presente entente ne pourra y mettre fin en aucun temps avant 1'expiration de ladite periode de dix (10) ans. Toute partie desirant mettre fin d la presente entente a 1'expira tion de ladite periode de dix (10) ans devra donner d toutes les autres parties un avis ecrit d cet effet le ou avant le ler novembre A 1'expiration de ladite periode de dix (10) ans, la presente entente se renouvellera et continuera d'etre executoire sur une base annuelle (un an comprenant une periode de douze (12) mois commengant le ler mai et se terminant le 30 avril - ci-apres designe I'annee de convention") et toute partie pourra mettre fin d 1'entente d 1'expiration de toute annee de convention en donnant d toutes les autres parties d 1'entente pour I'annee de convention un avis ecrit six (6) mois avant 1'expira tion de I'annee de convention dans laquelle I'avis est donne. 15. The present agreement is for a period of ten (10) years from the coming into force of the by-law in conformity with the law. It is specifically agreed and understood that no party to the present agreement may withdraw therefrom at any time before the expiry of the said ten (10) year period. Any party wishing to withdraw upon the expiry of the said ten (10) year period must give all of the other parties hereto notice in writing to that effect on or before November 1, Upon the expiry of the said ten (10) year period, this agreement shall renew and continue in full force and effect on a year-by-year basis (a year being the twelve (12) month period commencing May 1 and ending April 30 - hereinafter called the "Agreement Year") and any party thereto may withdraw at the end of any Agreement Year upon giving all of the other parties thereto six (6) months written notice prior to the expiration of the Agreement Year in which the notice is given. 16. Tout differend relativement a 1'interpretation ou a 1'application de la presente entente sera soumis pour arbitrage a la Commission Municipale du Qudbec dont la decision sera finale et sans appel. Any of the parties hereto may, by notice to the other parties hereto, change the address to which any notice, request, demand or advice intended for the parties so giving such notice shall be addressed. 17.
