City of Fernley Public Works 595 Silverlace Blvd. Fernley, NV Re: Truckee Canal Diversion and Conveyance Alignment Analysis Proposal for Professional Engineering Services Dear David: AECOM Technical Services, Inc. ( AECOM ) is pleased to provide the City of Fernley ( City ) this proposal for engineering services related to the analysis of three (3) proposed alignments to divert surface water from the Truckee Canal to the Water Treatment Plant (WTP) located in Fernley, Nevada. Project Understanding Surface water rights owned by the City have a diversion location at Derby Dam; diverting surface water from the Truckee River to the Truckee Canal. The City is in the process of acquiring the necessary U.S. Bureau of Reclamation (USBR) approval for use of the Newlands Project water and federal facilities (Truckee Canal, Derby Dam) to convey and divert water for municipal use. The City intends to design, construct, operate and maintain a canal outtake structure, pump station and pipeline to divert and convey surface water from the Truckee Canal to the WTP. Based on this project understanding, AECOM proposes the following scope of work. Scope of Work Task 1 Alignment Analysis and Technical Memorandum AECOM will prepare and initially submit to the City, a technical memorandum, analyzing three (3) diversion and conveyance alignments that originate at the Truckee Canal and terminate at the. plant box structure, located adjacent to the chemical building Alignment(s) analysis shall include: Documentation Review AECOM will review available information related to the project. Information includes existing facility documentation, topographic surveys, as-built drawings, property maps, right-of-way and easement records, and technical reports. Hydraulic Modeling Evaluation AECOM will evaluate proposed flows and provide analysis for recommended improvements. AECOM assumes the City will provide preferred flows and the end of the line (WTP termination) hydraulics. Review Site Conditions AECOM will conduct necessary field investigations required to evaluate alignment options (no subsurface investigation will be performed).

2 Page 2 of 4 Utility Research AECOM will research available record information to determine their impact on alignment options. AECOM will evaluate three (3) different alignment options, based on the foregoing investigation work. Options shall evaluate potential environmental/permitting issues, right-ofway/easement/property issues, typical canal diversion structure and pump station configurations, potential pipeline configurations (including materials, sizes, and approximate lengths), construction methods, relative time estimates for design work and the subsequent construction work, and cost estimates. AECOM will summarize the benefits and challenges of the alignment options in a Technical Memorandum. The memorandum shall include findings for the alignment options that include potential environmental/permitting issues, easement/real estate issues, potential pipeline configurations (including materials, sizes, and lengths), pump station configuration, construction methods, relative time estimates for design work and the subsequent construction work, and cost estimates. The conclusion of the Technical Memorandum shall recommend an alignment option. Deliverables: (5) hard copies of Technical Memorandum, and (1) electronic copy for the Owners reference (electronic files include.doc,.dwg,.pdf files). Task 2 Project Coordination and/or Meeting Attendance AECOM will act as the Owner's representative and perform additional services to include attending up to 5 City and USBR agency meetings, provide project coordination between each stakeholder, and conduct up to 12 weekly progress meetings. AECOM will provide minutes of these meetings. AECOM has budgeted 80 hours for the above listed actions. Additional hours, if needed, will be billed on a Time and Materials basis per the attached AECOM rate schedule. Note: Per the "Agreement Between the City of Fernley and the United States Regarding Settlement of Claims and Protests of Use of Federal Reclamation Facilities, dated 2009," the City is required to provide the USBR a formal authorization letter. AECOM assumes the City will provide a formal authorization letter to the USBR. AECOM will assist with a draft authorization letter at the City s request.

Property appraisal shall be provided by the City for each alignment as applicable. AECOM is excluding the preparation of the efficiency study pursuit to Sections II.3.C.3 and II.4 of the "Agreement Between the City of Femley and the United States Regarding Settlement of Claims and Protests Over Use of Federal reclamation facilities. Once an alignment is determined and accepted by the City and USBR, AECOM will prepare an amendment to this Contract to prepare the efficiency study in accordance with USBR guidelines, negotiated by the City. AECOM is excluding the preparation of Accounting Rules per Section II.3C(2) of the agreement titled: Agreement Between the City of Fernley and the United States Regarding Settlement of Claims and Protests Over Use of Federal Reclamation

4 Page 4 of 4 Facilities; dated November, 2009 and required by the USBR. The City will provide Accounting Rules in support of the Authorization to Use request. AECOM is excluding the preparation of Conservation and Efficiency Plan per Section II.3C(3) of the agreement titled: Agreement Between the City of Fernley and the United States Regarding Settlement of Claims and Protests Over Use of Federal Reclamation Facilities; dated November, 2009 and required by the USBR. The City will provide Conservation and Efficiency Plan in support of the Authorization to Use request. The City will provide a topographic survey, parcel maps, record drawings, right-of-way and easement records, and other documentation of WTP and surrounding alignment areas. Any opinion of the construction cost prepared by AECOM represents its judgment as a design professional and is supplied for the general guidance of the City. AECOM has no control over the cost of labor and materials, or over competitive bidding or market conditions, AECOM does not guarantee the accuracy of such options as compared to contractor bids or actual cost to the City. Work outside the established SCOPE OF WORK can be performed on a time and materials basis in accordance with our current fee schedule. A standard fee schedule is attached and incorporated into this proposal. Actual cost + 15% It is understood and agreed that these rates and charges include normal equipment and materials used in connection with the production of the required engineering and/or architectural services. If authorized by the client, an overtime premium multiplier of 1.5 will be applied to the direct wage cost of hourly personnel who work overtime in order to meet a deadline which cannot be met during normal hours. Applicable sales taxes, if any, will be added to these rates. AECOM will typically furnish monthly billings for all services rendered and supplies furnished in accordance with the above compensation provisions.
