10 WHAT IS EB-5 EB-5 Visa available under the Immigrant Investor Program Created by the Immigration Act of 1990 Method for foreign nationals to obtain a U.S. Green Card Through capital investment in a U.S. business Makes 10,000 U.S. Green Cards available for immigrant investors 3,000 of which are set aside for investments through Regional Centers Minimum of $1,000,000 USD (or $500,000 USD in a Targeted Employment Area) Creating or preserving at least 10 jobs for U.S. workers 10

11 WHAT IS A REGIONAL CENTER The EB-5 Pilot Program began in 1992 and created Regional Center designations. A USCIS designated Regional Center is any economic entity, public or private, dedicated to the promotion of economic growth, improved regional productivity, job creation, and increased domestic capital investment of a region. EB-5 Regional Center projects must meet the requirements regulated by the United States Citizenship and Immigration Services (USCIS). 11

12 WHAT IS A TEA? A Targeted Employment Area (TEA) is any city, county, census tract or other geographical area accepted by the USCIS that has an unemployment rate over 150% of the national average rate. A TEA may also consist of a rural area. A rural area is an area outside a metropolitan statistical area or outer boundary of any city or town having a population of 20,000 or more. 12

23 DEBT-STRUCTURED INVESTMENT CFIG attempts to structure each EB-5 investment with 40% debt (traditional financing) and 60% debt (EB-5 financing) $20 million project value $12 million from EB-5 investors $8 million from reputable bank or other financial institution EB-5 investors are allowed to calculate jobs created by the bank s investment in the project to support their immigration applications 23

24 EB-5 CAPITAL INVESTMENT In order to qualify for approval of a Form I-526, an applicant investing in a new commercial enterprise needs to demonstrate that he or she has or is actively in the process of investing a minimum of $500, (8 C.F.R (g)) 24

25 EB-5 SPLIT PAYMENT (FOR CITIZENS OF CERTAIN COUNTRIES) For purposes of obtaining approval for a Form I-526, an EB-5 investor need only demonstrate that he or she has started the process of investing CFIG has a number of cases in which EB-5 investors participating in new commercial enterprise projects sponsored by CFIG have invested a total of $100, at the time of filing the Form I-526 These investors have received USCIS approval of their respective I-526s upon depositing the remaining $400, at such time as USCIS issues a request for evidence (RFE) 25

26 PREFERRED EXIT STRATEGY U.S. FEDERAL PROGRAM HUD LEAN 232 CFIG takes very seriously our responsibility to return the principal investment back to our clients, which is why we will use HUD Section 232 mortgage installment program ( HUD 232 Program ). The purpose of the HUD 232 Program is to finance the purchase, refinance, new construction or substantial rehabilitation of nursing homes, assisted living facilities and other senior living facilities. The HUD 232 Program provides long-term, fixed-rate mortgage insurance for the financing or refinancing of existing healthcare projects, such as assisted living facilities, insuring lenders against losses on mortgage defaults. 26

27 PREFERRED EXIT STRATEGY U.S. FEDERAL PROGRAM HUD LEAN 232 While HUD does not actually loan any money to a facility, it serves as a credit enhancer by acting as a loan guarantor, which provides the underlying FHA-approved lender with security for repayment of the debt in case of a default by the borrower from resources beyond those of the borrower. After 5 years, each CFIG-sponsored project may be eligible to refinance its assisted living and memory care centers through the HUD 232 Program. By refinancing based on the true valuation of each project, we expect to replace all EB-5 investment with a loan through the HUD 232 Program, thus repaying the principal investment back to our EB-5 investors. The HUD 232 Program provides CFIG with the security to offer its investors a clear plan for the return of their investment, while also enabling each CFIG-sponsored project obtain affordable financing and refinancing of healthcare facilities nationwide. HUD 232 may refinance up to 80% of total valuation of the project. INVESTORS MUST UNDERSTAND THAT THEIR INVESTMENT IS STILL AT RISK. 27

28 ASSISTED LIVING FACILITIES Senior assisted living facilities have evolved considerably since they were first developed in the 1980s, largely in response to seniors and their families rejecting the often unnecessary, institutional setting of nursing homes. Since 1981, an estimated 40,000+ assisted living communities have been developed nationwide. Housing with health care and hospitality is the hallmark of today s senior assisted living communities. Services have become increasingly individualized and medical care provided onsite ranges from medication administration to specialized care for Alzheimer s residents. Our programs range from weekly card games to senior exercise offerings, entertainment and shopping outings and higher education courses brought onsite by local community colleges. We strive to create engagement, meaning, wonder and purpose in our communities as we believe our parents, grandparents and aging loved ones deserve the best services and amenities. 28
