3 Kingston Wharves Limited (KWL) is a public wharf company operating in the Port of Kingston. The Company began operations in downtown Kingston in October of 1945 with four piers on Princess, Orange, Hanover and East Streets. These were commonly called 'finger piers'. Two years later, KWL expanded with three additional piers located at South Street, Railway Pier #1 and Railway Pier #3. In 1947, the owners of the private wharves were consolidated into two groups: KWL headed by Grace, Kennedy and Company Limited and Western Terminals Limited (WTL), headed by Lascelles demercado and Company Limited. By the early 1950s the need for additional storage space, chronic congestion at the port facilities and the problems of road traffic in Downtown Kingston all contributed to proposals to relocate the public wharves to the Hunts Bay area in the Western Harbour. The original proposal came from Moses Matalon, one of Jamaica's visionary engineers at that time. Intensive negotiations followed his proposal - negotiations between himself, Luis Fred Kennedy, Managing Director of Grace, Kennedy & Co. Limited and Charles DaCosta, Managing Director, Lascelles demercado & Co. Limited. These negotiations led to the creation of Newport West, the first private sector port development in the Western Hemisphere after World War II. The port was operated by two competing companies, KWL and WTL from 1967 to An agreement to merge the two companies came about when WTL accepted an offer from KWL to acquire all of its ordinary stock units by an exchange of stock units. As a result of this merger, the following companies became wholly owned subsidiaries of KWL - Kingston Terminal Operators Limited; Harbor Cold Stores Limited; Western Storage Limited; Jamaica Cooling Stores Limited; Security Administrators Limited and Caripic Limited - the latter is now being wound up. On September 1, 1994 WTL ceased to operate a public wharf company and a final merger of Berths 1-7 took place. By the end of the year, KWL had acquired 94.76% of WTL's stock units. The remaining units were obtained by compulsory acquisition by February 28, 1995.

4 With this merger, KWL has more than doubled its berthing capacity making it the largest port operator in the country. On September 26, 1995, the company was listed on the Jamaica Stock Exchange. The principal activities of KWL and its subsidiaries comprise the operations of public wharves and the provision of cold storage facilities. KWL and KTO currently handle all of the domestic cargo which passes through Port Bustamante. While containerized traffic accounts for the majority of tonnage, KWL also handles substantial breakbulk cargo at Berths 1-7. The Company is committed to spending approximately $114 million over the next two years to refurbish facilities which will speed up the clearance of cargo and the processing of documents. In addition, further capital expenditure is expected for the refurbishing and upgrading of the existing wharf and cold storage facilities. SUBSIDIARIES Kingston Terminal Operators Limited This company provides management services exclusively for the Port Authority of Jamaica at the container terminal. Harbour Cold Stores Limited, Western Storage Limited, Jamaica Cooling Stores Limited Harbour Cold Stores Limited's principal activities comprise the provision of public cold storage facilities and the installation and maintenance of external cold storage and cooling facilities. It also manages Western Storage Limited and Jamaica Cooling Stores Limited. Western Storage Limited also operates cold storage facilities. During 1990, the cold storage activities of its wholly-owned subsidiary, Jamaica Cooling Stores, were discontinued and the premises are not being used presently. Negotiations are proceeding to rent sections of the Jamaica Cooling Stores premises for dry storage.

5 Security Administrators Limited Security Administrators Limited commenced operations on October 1, It provides specialized security services at Port Bustamante and at the ports of Montego Bay and Port Antonio. ASSOCIATED COMPANY Kingston Wharves Limited holds a twenty five per cent (25%) shareholding in Caribbean Freight Forwarders and Custom Brokers Limited.
