1 The Cliffs at Princeville Aloha. June 2018 As you know, Kauai has gone through a challenging period over the past few months. Amazing amounts of rain fell throughout the island over several weeks including one day when the north shore received nearly 40 inches causing landslides and flooding in Koloa, Anahola, Kalihiwai valley, Hanalei, Wainiha and Haena. Thankfully no one was hurt. The road past Hanalei remains closed to all but residents of that part of the island and is expected to remain so until at least October as repairs are being made. They say that every cloud has a silver lining. In Kauai s case, it s the people. Both those who are lucky enough to call Kauai home full time and those for who Kauai is a home away from Jim Braman General Manager home. The way that Kauai s people rally together to help one another is one of my favorite parts of living here. The Cliffs staff is no exception. I was extremely proud when several members of our team volunteered to help accept, sort and distribute relief donations at the Princeville Airport in the days after the storm. The generosity of residents and visitors filled the hangar with everything from water to rubber boots. Our staff helped to organize and load supplies onto helicopter after helicopter to be flown to those affected. Others went in by boat to help receive the items as they came. Later when the road was partially reopened for relief traffic only and the operation moved to the old Guava Kai / Common Ground warehouse, our staff and some owners went again to help organize and ready deliveries for distribution. We also want to say Mahalo to those owners who sent donations to help. I m happy to say that the resort did not suffer any damage and everyone here is just fine. Despite all of this, our owners and guests have continued to come. The resort continues to enjoy strong occupancy. If you are scheduled to visit soon, there is no reason to change your plans. Projects and Renovations: Using the same design as building 8, ten units in building 9 have just been renovated and look great. This round of renovations went very well thanks to the teamwork of our contractor, maintenance and housekeeping staff. Seven units in building 7 will be done between 9/6 and 12/1/18. Termite tenting on building 7 will take place 11/ We ll look forward to showing you the new units on your next visit. A new electronic lock system has been installed throughout the resort. Our old system had become unreliable causing frustration for owners and staff. The new system uses RFID technology and is working beautifully. Landscape upgrades are underway at buildings 1,2 & 3. Irrigation upgrades include smart irrigation with moisture sensors to save water. New plantings including many native plants and fragrant flowering trees off the back lanais add color and privacy without blocking the view. New palms along the entry pathway at building 1 enhance your arrival there. Similar upgrades are planned throughout the resort over the next year. Now that our solar photovoltaic system is up and running, your boards and management team are adding a renewed focus to sustainability initiatives throughout the resort. Working with state and county resources, Kauai Island Utility Cooperative, the Princeville Community Association and others, we are looking at all aspects of our operation to find ways to reduce our consumption, increase our recycling efforts and implement greener practices in our housekeeping and landscaping departments. Look for more on this soon. Cliffs in the Community: The Cliffs staff participated in the Hawaii Lodging and Tourism s Charity Walk again this year helping to raise over $350,000 island wide which will be donated to over 40 charities and fund scholarships right here on Kauai. We have also partnered with Kauai Community College to host college classes in our board room. The first class beginning this fall semester will be an introductory accounting class. We are especially excited because our very own controller, Ana Friere has been chosen to teach the class. With the KCC campus an hour away in Puhi, access to classes is a challenge for many would be north shore students. We are very happy to be able to help these students achieve their goals.

2 IMPORTANT INFORMATION PLAN AHEAD!!! UPCOMING RENOVATION DATES The dates of CCIOA/CRVOA renovations for 2018 & 2019 are: Building 7: 9/6 through 12/1/2018. For the information of whole unit owners, tenting will take place 11/26-11/28/2018. Wholeowned units will have to be vacated during the period in which tenting takes place. Building 5: 8/29 through 11/24/19. Tenting has not yet been scheduled More specific information on tenting dates will be provided as soon as possible. Tenting requires that all units in the building be unoccupied over a three day period. FUTURE RENOVATIONS: Building 6: 2020 dates TBD, Building 4: 2021 dates TBD Board News: The newly created Unit Management and Quality Control Committee is a combination of the previous Renovations and Joint Quality Control committees. This new committee will expand its responsibilities to encompass the status of all units, while refocusing its approach to emphasize continuity of work for the whole property, monitoring projects and renovation planning. This committee has the exciting job of overseeing the renovations and working with our interior decorator on keeping our units looking great and ready for your visit. 3 OWNER SURVEY RECAP From the Joint Survey Committee A survey of owners was conducted this past March. You can find the full Survey Committee report and Amplitude Research s Study Report in the Owners Section on the Cliffs at Princeville website. A basic recap follows: BACKGROUND The first survey of Cliffs owners was done in August, Amplitude Research, our contracted survey company, recommended that surveys be conducted about every three years. A Survey Committee was assigned; three had been on the 2015 committee. It was decided to change the timing of the survey, so it was done in March, 2018, rather than wait until Amplitude Research recommended that the 2018 survey mirror the 2015 as much as possible. The Survey committee did make some modifications to the 2015 survey, as conditions had changed in various topics. The main goal of the survey remained the same: to find out what our owners thought about The Cliffs, their ownership, and what they want their resort to be, along with relevant demographic information. The Boards make decisions involving sizeable expenditures, and we need to know if the owners support that concept. Amplitude Research provided further guidance in fine-tuning questions and survey design. They then administered the survey, analyzed the results, and provided a finished presentation. There were separate surveys for timeshare and whole unit owners, though the surveys had a lot of overlap. Twenty-nine percent of timeshare owners and 53% of whole unit owners responded to the survey. A response rate of about 10% for this type of survey is typical. So we were all quite pleased. CONCLUSIONS The 2018 survey will be instrumental in providing guidance to the Long Range Planning Committee and others in determining what projects to consider undertaking and continuing, as the 2015 survey has been. The following are the key topics from survey responses that warrant further review: The strategy of the board and management has been to maintain and upgrade quality while striving for increased efficiency in all areas. The goal is to be in the 21 st century and earn the highest ratings from our guests and owners. This was supported by 83% of timeshare owners and 91% of whole unit owners, and should continue to be our goal. While there has been a significant improvement in our internet connectivity and performance, current efforts underway to improve those should continue, as this is considered one of the most important amenities. Move as quickly as possible to upgrade the website to include unit availability and reservation capability for timeshare owners. The survey showed that most owners feel they are getting appropriate or good value (77% for whole unit owners and 87% for timeshare owners) relative to the fees they pay. While several owners objected to increases in maintenance fees, there needs to be recognition that costs in general continue to rise. Improved transparency on budget and what they cover could be useful to owners. Since there was very strong support for the development of the valley walking trail, a feasibility and cost study should be initiated. It would be beneficial to create an owner s focus group to get input on trail design. Because the usage of and need for the tennis courts has been identified, the board might want to consider ways to increase usage of this amenity. Respondents to the 2015 Survey often commented that air conditioning was a desired amenity. The 2018 survey included a question on adding air conditioning. The vast majority of respondents surprisingly opposed installing air conditioning. Thank you to all owners who participated.

4 Building 9 is renovated! The units are beautiful and owners and guests are enjoying the new features. Building 7 is next and will be finished by the end of the year. New Plantings! 5 CCIOA President s Report As you may know, during the night of April Kauai experienced one of the worst storms ever. Nevertheless, we encourage you to visit Hawaii, visit Kauai and visit The Cliffs for a wonderful stay in paradise and to support the economy and the recovery. There was a record 40 inches of rain in one day on the north shore of Kauai. We are pleased to report only minimal roof leaks to units at The Cliffs and that repairs were made soon after the storm. However, much of the area, especially Hanalei and to Ke e Beach, was severely impacted. Beyond Hanalei the highway is still open only to local traffic due to outages and mudslides but Hanalei Town is very much open and visitors are encouraged to enjoy Hanalei and support its economy. While Cliffs at Princeville was spared significant damage, several Cliffs employees and many others were impacted. Certainly, what happens in Hawaii affects all of Hawaii and this is certainly true of the volcanic activity on the Big Island. The Big Island is over 200 miles from Kauai so vog is not overly-affecting Kauai residents and visitors. So. Please come and visit!! We are pleased to report that the renovations of both buildings 8 and 9 are now complete and the newly remodeled units are beautiful. There was certainly some disruption of routine while renovations were taking place, but you would agree that any inconvenience is well worth it now! Our recent survey (see details elsewhere in this newsletter) tell us that owners really want to see important ongoing maintenance and upgrades while striving for increased efficiencies. This newsletter contains reference to the vote for the revision of CCIOA bylaws. We encourage you to look at that and vote if you have not already done so. Our next meeting will be by phone and will be on July 25. As a board, we will not be coming to Cliffs this summer. 6 CCIOA OWNERS PLEASE VOTE NOW ON PROPOSED CCIOA BYLAWS UPDATE As many of you know, proposed Amended Bylaws were recently submitted to all of the CCIOA Timeshare owners for approval. As of the date of this newsletter, we have received 1518 votes, but need to reach the majority number of 2704 to have them become effective. A summary of those changes may be read below and the full text of the proposed Amended Bylaws can be found at thecliffsatprinceville.com. Please submit your vote now while you are thinking about it so that we can complete the approval of these needed changes without the further delay or expense of another first class direct mailing to the owners who have not yet responded. SUMMARY OF CHANGES IN THE PROPOSED AMENDMENT TO THE BYLAWS OF THE CLIFFS CLUB INTERVAL OWNERS ASSOCIATION (CCIOA) A full copy of the proposed amended CCIOA Bylaws is available for your reference on the Cliffs website at This summary is for your convenience to list the most significant changes to the current CCIOA Bylaws from 2008: 1. Updated language to remove obsolete reference to the Developer of the Cliffs (paragraphs 1.4, 2.3, 2.5) and to the Cliffs as the Project. 2. made references to Owners consistent throughout as Owner Members or Members for much greater clarity. (section 2). created consistency for addresses to be used for notices to Members.[2.4(d)]. Changes to the Bylaws regarding Directors (Part 3): Directors will have term limits of no more than three consecutive three-year terms following the approval of these amendments, and thereafter. Once that limit is reached, they shall not be eligible to hold CCIOA office for 12 months, after which they may again run for office as before. Directors who miss two or more consecutive regular board meetings may be removed from office [3.5(b)]. Section 3.7 makes it clear that newly elected Directors shall attend the organizational meeting held immediately after their election, either in person or by telephone. Section 3.8 reduces the number of required board meetings to three per year from four, thereby saving money for the Cliffs without significantly increasing the interval between board meetings. Section 3.11 clarifies that at least two of those meetings shall occur at the Cliffs or, if unavailable for some reason, on Kauai. Section 3.13 clarifies the right of Member Owners to attend the board meetings in person, or by conference call. Section 3.22 requires Directors to fully comply with the adopted Standards of Conduct and Conflict of Interest/ Gifts policies. (The CCIOA Board has carefully reviewed and approved the proposed amendments to the Bylaws and recommends a Yes vote. Please cast your vote by July 20, 2018 on the proposed amendments if you did not vote previously ) Thank you for your prompt assistance and cooperation. A copy of the proposed new Bylaws is available online on the Cliffs website ( or by request to the Cliffs at Princeville. A summary of the changes is included on the previous page. A majority vote of the entire CCIOA ownership is required to adopt this revised version of the Bylaws, so your participation is essential. Vote only if you have not voted before for the Bylaws revision. I/We agree to the adoption of the revised Bylaws as proposed by the CCIOA Board II. 8 Aloha, AOAO PRESIDENT S REPORT Carolyn Russell May found your AOAO Board busy with committee meetings and the regular and annual meetings. We have several projects to complete and, despite the bad weather, we ve made progress on the landscaping plan. We began with buildings 1 and 2 by repairing a very creaky irrigation system. That allowed us to start work on a vision to give each building its own garden character. Hedges, small trees, and groundcover are in place to provide much needed privacy for the back of the first-floor units. We are awaiting a design and pricing for the pool gate, upgrading internet connectivity in the common areas, and, after much study and input from users, going out for bid on our public and private websites. We also hosted the Sanctuary Ocean Count Project for humpback whales in January, February and March. We are the only site in Princeville that participates in this important study. Volunteers, who include Cliffs owners and guests, watch from 8 a.m. to 12:15 p.m. We are glad to be good neighbors and partners is this and other community and island events. Elections occurred at the annual meeting. Incumbents Don Jacobs and Mike Cook were re-elected; Norman Litell returned as a Board member, and Phillip Mike Dunn is a newcomer. At the organizational meeting, Jim Ricker was appointed vice-president; Charlene Harper and Norman Litell were elected secretary and treasurer; and I will serve again as president. The next regular meeting is an off-site telephonic one, July 24 from 9 a.m.--1 p.m. HST. We will use a webinar format, and you ll receive notice about how to join us. As you ll see from other articles in this newsletter, we have several challenges and, from our survey, some exciting new ideas to research. Rest assured, your Board will work to keep The Cliffs one of the North Shores finest properties. Whole Unit Owners Corner News from Charlene Harper Aloha Whole Unit Owners As mentioned in other articles, there has been so much going on at The Cliffs this spring.. We successfully completed our second survey and 53% of you responded with your thoughts on current and future projects, as well as your vision for The Cliffs. Most of you wanted our resort to continue on our current path while carefully managing expenses to mitigate dues increases. There was strong interest in adding a valley walking trail, with only moderate interest expressed for additional barbecues, a firepit, and additional hammocks. The AOAO board will be embarking on a project to develop requirements, design recommendations and cost analysis for a walking trail. We strongly encourage whole unit owners to participate in a focus group for this project. If you are interested, please our President, Carolyn Russell through the website link for board members. As you know, we had director elections at our May Annual Meeting. AOAO is responsible for managing all of the buildings, grounds, and related projects. Because both timeshare and whole unit owners are members of AOAO, it is important that we have a board reflecting both groups of owners. The whole unit owners on the board are Carolyn Russell, Mike Dunn, James Quisenberry and myself. In addition, Jim Ricker was appointed as Vice President. We are confident that the whole unit owners will continue to be well represented. Finally, there have been a lot of questions regarding the Multifamily bills which we have received. So far this year, you have only been billed for KIUC usage for January and February because Valta was unable to accurately reflect solar usage for each unit. There are still anomalies being resolved, but you can expect a higher catch up bill for the first months of the year soon. 9 CRVOA from the Presidents Desk ANNUAL MEETING DATE SET The Cliffs Resort Vacation Owners Association s July on-site Board meeting and its Annual Meeting will both take place at The Cliffs on July 23, 2018, the day after my birthday. Woo-Hoo!! Help me celebrate by attending both exciting parties, whoops, I mean meetings. The Board Meeting is starting at 10:30 AM and could last as long as Noon. Registration for the Annual Meeting will begin at 12:30 PM and the meeting will begin at 1:00 o clock sharp (or at least as sharp as I can be, meaning that it will most certainly begin late!). As you can see, I m already excited! Hope to see you all there! CLIFFS EXCHANGE CLUB I want to remind you all about The Cliffs Exchange Club (CEC). It is a great service that the resort provides to CRVOA owners. Rather than using an exchange company like RCI or II to bank your weeks, you can bank them with the Cliffs Exchange Club. If you bank enough of your weeks, it would be possible for you to put them together and stay on property for months on end if you own enough weeks. However, I feel compelled to caution you against doing that because you will never want to go back home! PROXIES As I mentioned earlier in this article, the CRVOA s Annual Meeting is happening in July. If they haven t already arrived in your mailbox, you will soon be receiving documentation relating to the elections that will be held at the Annual Meeting. In the event that you are unable to be personally present at the Annual Meeting, it is important that you return your proxy to us so that we have a quorum. The documentation that you will receive concerning the Annual Meeting will also contain a ballot listing the individuals that are running for the board as well as the Nominating Committee s recommendations. The Nominating Committee put in a lot of hard work interviewing all of the individuals who have expressed an interest in serving on the CRVOA board. There are many qualified candidates running for the board and, whoever ends up getting elected to the board will be a most certainly be a fine addition to your current board members. KAUAI VOLCANO HISTORY It is truly tragic what is taking place on the Big Island with the eruption of the Kilauea Volcano. I went to visit the Big Island in May shortly after the eruption started and got a first-hand opportunity to witness the devastation that was taking place there. Sadly, some places that I visited in May no longer exist. As many of you know, the volcano is still erupting and there seems to be no end in sight. Thankfully, we do not have the same concerns here on Kauai. The volcano that formed our island is now the magnificent mount Wai ale ale, which can be viewed from many places on the island when it isn t enshrouded in clouds. It last erupted over 5 million years ago, so I think we re pretty safe. That explosion created the entire east side of Kauai and formed the unique shape and topography of the island. What s left of Wai ale ale today is a dramatic crater which opens towards the Royal Coconut Coast. It has been said that it is impossible to hike to the top of mount Wai ale ale although some brave souls have recently done so. I d like to join them one day. Kauai was uninhabited for over 5 million years, as the first settlers that sailed to the island got here around 500 A.D. This makes our island home the oldest inhabited of the main Hawaiian Islands. The first inhabitants sailed for over 3,000 miles and brought plants and foods with them, many of which are still abundant today in Hawaii s culture and diet, including taro, which I know everyone loves. I hope that things get back to normal for our brothers and sisters on the Big Island very soon. I plan to go back there in July and update you further in my next column. Chris Stawski

16 Cliffs Happenings Happy Birthday Lusetta! Here is our long-time resident Lusetta with Housekeeping Supervisors Belinda and Leonor on the day Lusetta brought cake and ice cream for the entire staff! Mahalo nui loa Lusetta. May you have many, many more birthdays. Eight Cliffs employees were honored at the annual Malama Awards in March at Koloa Landing. First time for The Cliffs to participate in this prestigious Awards Celebration that showcases the talents of exceptional resort and hotel employees. Tasha Troche, James Sarme, Chad Rapozo, Shanoa Law, Kapua Hermosura, Eric Robbins, Myron Kamoku and Belinda Pescador were honored. Jim Braman was a speaker and let everyone know how appreciated they all are. Congratulations to all. After the storm April a team of Cliffs Employees from Accounting, Reservations and Housekeeping put in long hours at Malama Kauai, one of the main collection and distribution centers sending food and emergency supplies out to storm-ravaged areas on the North Shore. The Cliffs sent in supplies to help out too. While the situation is a lot better than it was, there is still a long way to go to normal. But community spirit is alive and folks are just getting on with it. Lucky we live Kauai.

17 Cathy s Kitchen GRILLED SHRIMP, BASQUE-STYLE 1/2 C plus 2 Tbsp extra-virgin olive oil 1/3 C fresh lemon juice 1 tsp Tabasco Sauce 1/2 C coarsely chopped mixed fresh herbs, such as parsley, basil, sage, thyme, marjoram, oregano, chervil and/or chives 3-4 cloves chopped garlic salt/pepper to taste 2 lbs extra-large shrimp, peeled and deveined In a large serving bowl, combine the 1/2 C olive oil, lemon juice, Tabasco, herbs, garlic and the salt/ pepper. Set aside. In a medium bowl (or Zip lock bag) toss the shrimp with the remaining oil. Skewer shrimp kabob-style and grill until done- about 8-10 minutes. Take the shrimp off the skewers and put in the bowl with the oil/herb mix and toss gently. Serve immediately. JULIA CHILD S WONDERFUL POPOVERS Makes c flour 1 c whole milk, room temp ½ tsp salt 3 large eggs, room temp 2 T unsalted butter, melted melted butter for greasing cups Position a rack on the lowest run of oven and preheat to 425. Butter cups. Pour all ingredients into blender and whirl until smooth. Strain if lumpy. Pour 1/3 c into each custard cup. Bake without opening the oven for 25 min. until puffed and brown and crisp. Turn temp down to 350 and bake another min. to help dry out interior. Serve immediately. TUSCAN-STYLE STEAK WITH ARUGULA & PARMESAN 5 tablespoons extra-virgin olive oil 1 tablespoon fresh-squeezed lemon juice 2 medium cloves garlic, minced OR pressed through a garlic press 1 tablespoon chopped fresh parsley leaves 1 tablespoon chopped fresh oregano leaves Salt and coarsely ground black pepper 1 teaspoon vegetable oil 4 boneless strip steaks, 1 to 1-1/4 inches thick (8 to 10 oz each), trimmed of exterior gristle and patted dried with paper towels (sometimes I use rib-eye steaks) 8 cups loosely packed arugula, washed and dried 3 ounces Parmesan cheese, cut into thin shavings Whisk together olive oil, lemon juice, garlic, parsley, oregano and a pinch each of salt and pepper in a small bowl until smooth; set aside. Heat vegetable oil in a large, heavy-bottomed skillet over medium-high heat until smoking. Meanwhile, season steaks liberally with salt and pepper. Lay steaks in pan and cook, without moving, until a well-browned crust forms, about 5 to 6 minutes. Using tongs, flip steaks. Reduce heat to medium. Cook 3 to 4 minutes more for rare (120 degrees F on an instant-read thermometer), or 5 to 6 minutes for medium-rare (125 degrees F). Transfer steaks to a cutting board, tent with foil, and let rest 5 minutes. Divide arugula evenly among 4 individual plates. Cut each steak crosswise into thin strips and arrange steak over arugula. Drizzle any juices that collected from the meat over the greens. Re-whisk dressing and drizzle it over steak and greens. Sprinkle with Parmesan and serve immediately. Makes 4 servings. FROZEN ORANGE CUPS (serves 4) 4 oranges 1 pint Vanilla ice cream or orange sherbet sugar, fresh mint sprigs Slice 1/4 off the top of each orange and put aside. Scoop out pulp and save for other use. Wet outside of orange shell and roll in sugar to coat. Put on plate. Do orange tops as well. Scoop sherbet into shells and freeze. Serve on a plate, garnished with fresh mint.
