The special authorization can be viewed in the PT Board Bulletin of June 8, 2005 at Transfer of Licence (PDV) (Section 30 of the Passenger Transportation Act) Proposed transfer of passenger transportation licence from Citra Equipment Ltd. to SBDS Enterprises Ltd. Publication: The application was published in the PT Board Bulletin on August 11, 2010 Submissions: None Board Determinations: The transfer of the special authorization, as sought by the applicant is approved. The terms and conditions of the licence remain unchanged. The rates to be charged remain unchanged respecting passenger directed vehicles. Background: Citra Equipment Ltd. (Citra) dba Star Taxi has been an operator for a number of years. SBDS Enterprises Ltd. (SBDS) will acquire the assets as an established turnkey operation. Reasons: The Board considers applicant fitness from two perspectives, or in two steps: (a) is the applicant a fit and proper person to provide the proposed service; and (b) is the applicant capable of providing that service? 2 Gurpreet S. Manj, as the principle of SBDS has given information that he will be the key personnel and manager of SBDS. Among other experience listed, he was the General Manager of a 32 fleet cab company with 45 drivers and 6 dispatchers for 4 years and was a cab driver prior to that for a major cab company in the lower mainland for 4 years. There has not been any information brought to the Board s attention that requires further investigation into Mr. Manj s background. The applicant provided documentation confirming financial arrangements are in place to enable SBDS to purchase Citra Equipment Ltd. The applicant has provided a business plan with information on organizational structure, resume, local economic overview, staff development, vehicle list, dispatch information and marketing. All information provided are what the Board would expect to see in a passenger transportation company. Financial information provided included prepared Income statements and Balance Sheet for Citra as of their last fiscal with notes explaining expenses. Included was also a copy of Notice of Assessment Goods and Service Tax to March 31, 2010 showing paid up to date. The income statements provided show that Citra has been a profitable company. There is nothing in the information provided that would cause concern to the Board for a new owner purchasing the assets of Citra. Financial information provided also included 3 years of future Cash Flow Projections for SBDS, interim confirmation of insurance, along with other information relating to the financial health of the company. The cash flow projections show a modest increase in sales and profitability each year. The applicant also provided: 1. copies of a contract from Hallcon Crew Transport Inc. confirming that Star Taxi is under contract to provide supplemental crew transportation services for Hallcon, and Hallcon s customer, Canadian Pacific Railway. 2. copies of a contract between Star Taxi and Canada Post were also provided which outlines an agreement for the transportation of letter carriers. These contracts also show ongoing business with future business potential. Based on the information provided, I find that the transferee is fit and proper and capable of providing the service as outlined in the terms and conditions of licence Activation: No vehicles may be operated under this Special Authorization unless a Passenger Transportation Licence has been issued by the Registrar of Passenger Transportation under section 29(1) of the Passenger Transportation Act. Unless otherwise specified by the Board, approval of this Special Authorization expires if the applicant has not received a licence issued by the Registrar within one year of the date of this decision. 3 Special Authorization Terms & Conditions: Vehicles: Maximum Fleet Size: Fleet Size Limitation(1): Fleet Size Limitation(2): Vehicle Capacity (T): Vehicle Capacity (LV): Passenger Directed Vehicle (PDV) 26 vehicles of which a maximum of 21 may be operated independent of any contracts being in force between SBDS Enterprises Ltd. and either Canada Post or Canadian Pacific Railway Limited or their brokers or agents. a. Of the 5 vehicles that may be operated only if there are valid contracts between SBDS Enterprises Ltd. and either Canada Post or Canadian Pacific Railway Limited or their brokers or agents., 3 vehicles may only be operated by SBDS Enterprises Ltd. as long as there is a valid contract between Citra Equipment Ltd. and Canadian Pacific Railway Limited or its broker or agent for the transportation of persons employed or engaged by Canadian Pacific Railway Limited. for the transportation of CP Rail workers. b. When making application for renewal of its licence, SBDS Enterprises Ltd. must submit a letter to the Registrar of Passenger Transportation from Canadian Pacific Railway Limited or its broker or agent stating that its contract with SBDS Enterprises Ltd. remains in good standing. c. If, at any time during the term of the licence, the contract between SBDS Enterprises Ltd. and Canadian Pacific Railway Limited or its broker or agent is terminated, SBDS Enterprises Ltd. must return 3 vehicle identification certificates and identifiers to the Registrar for 3 vehicles operating under Services 3 & 4. a. Of the 5 vehicles that may be operated only if there are valid contracts between SBDS Enterprises Ltd. and either Canada Post or Canadian Pacific Railway Limited or their brokers or agents, 2 vehicles may only be operated as long as there is a valid contract between SBDS Enterprises Ltd. and Canada Post or it s broker or agent for the transportation of persons employed or engaged by Canada Post. b. When making application for renewal of its licence, SBDS Enterprises Ltd. must submit a letter to the Registrar of Passenger Transportation from Canada Post or its broker or agent stating that its contract with Canada Post remains in good standing. c. If, at any time during the term of the licence, the contract between SBDS Enterprises Ltd. and Canada Post or its broker or agent is terminated, SBDS Enterprises Ltd. must return 2 vehicle identification certificates and identifiers to the Registrar for 2 vehicles operating under Service 5. Vehicles can accommodate a driver and not less than 2 and not more than 7 passengers. Vehicles can accommodate a driver and not less than 6 and not more than 11 passengers. 4 Express authorizations: The following express authorizations apply to Services 1, 3, 4, & 5 (i) Vehicles may be equipped with a meter that calculates fares on a time and distance basis. (ii) Vehicles may be equipped with a top light. (iii) Vehicles may, from within the originating areas only, pick up passengers who hail or flag the motor vehicle from the street. Service 1: The following terms and conditions apply to Service 1: Transportation of passengers may only originate from any point in the City of Cranbrook and within 24 road kilometers of the City of Cranbrook. Transportation of passengers may terminate at any point in British Columbia and beyond the British Columbia/Alberta border or the British Columbia / United States border when engaged in an extra-provincial undertaking. Return Trips: The same passengers may only be returned from where their trip terminates in the destination area to any point in the originating area if the return trip is arranged by the time the originating trip terminates. Reverse Trips: Transportation of passengers may only originate in the destination area if the transportation terminates in the originating area and the cost of the trip is billed to an active account held by the licence holder that was established before the trip was arranged. Service 2: The following terms and conditions apply to Service 2: Transportation of passengers may only originate from hotels and malls within the City of Cranbrook Transportation of passengers may only terminate at St. Eugene Mission Resort. Reverse Trips: Transportation of passengers may only originate in the destination area if the transportation terminates in the originating area. Service 3: The following terms and conditions apply to Service 3: Transportation of passengers may only originate from any point in the City of Cranbrook. Transportation of passengers may only terminate at any point on the Canadian Pacific Railway line within 245 road kilometers of the City of Cranbrook. Return Trips: The same passengers may only be returned from where their trip terminates in the destination area to any point in the originating area if the return trip is arranged by the time the originating trip terminates. Service Limitation: Service may only be provided to persons employed or engaged by Canadian Pacific Railway Limited and its heirs and assigns and only as long as a current written contract exists between the licence holder and Canadian Pacific Railway Limited or its broker or agent. 5 Service 4: The following terms and conditions apply to Service 4: Transportation of passengers may only originate from any point on the Canadian Pacific Railway lines, west to and including Elko, north by the Elk Valley, and east to and beyond the British Columbia/Alberta border when engaged in an extraprovincial undertaking. Transportation of passengers may only terminate at any point on the Canadian Pacific Railway lines, west to and including the City of Cranbrook and east to and beyond the British Columbia/Alberta border when engaged in an extra-provincial undertaking. Return Trips: The same passengers may only be returned from where their trip terminates in the destination area to any point in the originating area if the return trip is arranged by the time the originating trip terminates. Service Limitation: Service may only be provided only to persons employed or engaged Canadian Pacific Railway Limited and its heirs and assigns and only as long as a current written contract exists between the licence holder and Canadian Pacific Railway Limited or it s broker or agent. Taxi camera equipment may only be installed and operated in vehicles when the licensee is in compliance with applicable taxi camera rules, standards and orders of the Passenger Transportation Board. This special authorization may not be assigned or transferred except with the approval of the Board pursuant to section 30 of the Passenger Transportation Act.
