3 1. PRESENTATION We are living in the era of competitiveness and intrinsic quality. The market and consumers are increasingly demanding, price and quality are no longer differentials, are basic requirements for the survival of businesses. Within this framework AS AVIONICS SERVICES search increasingly continuous improvement in its products, processes, deadlines and running your business. In pursuit of excellence supply chain management is a strategic factor for survival in the aircraft market. Aiming to strengthen relations with our suppliers and partners we designed a development system supply chain, and one of the tools of this system is the AVIONICS Supplier Quality Manual The Manual's goal is to communicate to AVIONICS suppliers and partners, integrated quality management systems, as well as informing the specific requirements for inclusion in the AVIONICS supply chain. This Guide explains the guidelines adopted by AVIONICS in their development process and management of the supply chain and should be used as a guide in all stages of this process. With the commitment to get the enthusiasm of our customers expect from our continuous improvement suppliers seeking to meet and exceed the expectations and requirements of this manual. QUALITY POLICY AVIONICS "AS Avionics Services S/A., Committed with customer satisfaction, has as a goal the Continuous improvement of its process and products through the engagement of its employees in the adherence of Quality objectives 4. QUALITY EXPECTATIONS FOR SUPPLIERS It is expected of all suppliers AVIONICS total commitment to quality, through quality planning, delivery of products with zero defects, customer deadlines, proactivity to suggestions of design enhancements and cost savings. It is expected from the suppliers AVIONICS the application of those criteria to its network of suppliers. AVIONICS adopted NBR 15100: 2010 and AS9100C as reference for the development of the Quality Management System. It is expected that suppliers have a robust quality system and ensures sending defect-free products to AVIONICS. 5. SUPPLY REQUIREMENTS Specific requirements for supply of production materials for AVIONICS are listed below. All requirements are mandatory and exceptions should be notified in advance to examine the possibility of derrogas. A) ANALYSIS OF THE CONTRACT: The supplier shall review all the requirements of the purchase document, before the acceptance of the application (deadline, quantity, time of receipt, etc.). Any dispute must be communicated and agreed with the AVIONICS. Special attention is required when item has technical drawing whose revision number will include in particular field of purchasing document. Página 4 de 12

5 B) CERTIFICATION: It is desirable that AVIONICS supplier has its Quality Management System certificate in International standards (preferably NBR 15100: 2010, AS9100C:2009 and desirable, ISO 9001: 2008). The supplier should send each update the system of certificates for Quality and / or Environmental Quality to the sector of AVIONICS, via or hard copy. C) ENVIRONMENTAL LICENSE: Current environmental license issued by the competent organ is required for suppliers of thermal treatment services, surface coating, and machining bars and blanks. The supplier should send each renewal evidence of this License, via or hard copy to the Quality sector of AVIONICS. D) REQUIREMENTS FOR LABORATORIES (CALIBRATION, METROLOGY AND TESTING): Laboratories are considered fit to have their facilities accredited to ISO / IEC 17025: 2001 or equivalent national (INMETRO / RBC / RBLE). E) LANGUAGE: AVIONICS working language is Portuguese. Optionally the supplier may submit documentation in English. Documents provided in other languages shall be effective for official file after contractual analysis by the company's management or personnel assigned to such. F) SAMPLE IDENTIFICATION: Supplier should send their samples, properly packaged and identified Each pack / box should contain internally a copy of the Inspection Report and externally have pasted a label that identifies it as a sample. G) RESTRICTED SUBSTANCES: The development of new items, or replacement of raw materials and / or processes, where appropriate, the supplier must submit a statement of compliance with the applicable requirements for Restricted Substances (lead, mercury, cadmium, hexavalent chromium, PBB and PBDE ) International Traffic in Arms (ITAR) compliance applies to all parts suppliers to any potential for use in military applications. Any purchase order, quote, specification, printing / document may contain TECHNICAL DATA whose export is restricted by arms EXPORT CONTROL ACT (TITLE 22, U.S.C. SEC ). The seller is responsible for ensuring that all staff that gives this work in buyer's name has all appropriate and current licenses and State Department documents necessary to perform the approved work. Seller shall produce such records at any reasonable time by Avionics request. If the seller is not sure if the product they offer fall into the category ITAR they are responsible for obtaining the Purchaser and to ensure compliance or not. In accordance with ITAR / EAR requirements. H) CHANGES: Any change, including but not limited to, process, design, components, packaging, subcontractors or factory must be informed and / or formally requested (through a vendor form itself) to the Quality sector of AVIONICS and have formal approval to AVIONICS its implementation, as applicable. I) DEVIATION: In the event of non-compliance, is the supplier's responsibility to immediate production of new batch within the design specifications. If detected in the supplier should be sent a request for engineering deviation Award for submission of parts containing at least the following information: AVIONICS item code, quantity of affected parts, description of non-compliance, root cause, corrective action (responsible and implementation period). Should it be possible to exploit the parts, the AVIONICS quality sector representative samples ask the supplier to study the impact on the production line - sent in NF own, at no cost to AVIONICS. The total of the parts produced with the defect can only be sent after the formal approval issued by the Quality sector of AVIONICS. Detection in AVIONICS: see tem "J". J) REPORT OF NON-COMPLIANCE (RNC): The containment actions to quality problems should be send immediately. The root cause analysis and corrective actions must be presented in up to 07 days using the form AVIONICS FOR Can be attached to this form any other vendor's use as a tool for analysis and troubleshooting. Containment actions in AVIONICS are the sole responsibility of the supplier. See "I" item. A non-compliance detected after delivery shall be communicated in writing to the Department of Quality through the RNC form,(for ). When the supplier disagree issuing a RNC should express that disagreement in two business days after receipt of the RNC. Otherwise, the supplier accepts responsibility for non-compliance. K) COST RECOVERY PROCESS: The cost recovery process begins when from a supplier failure, the need arises to use own and / or third-party resources for the implementation of unplanned activities in plant AVIONICS, on the client or where they do need to locate and rework non-conforming parts. All necessary preventive and corrective actions to ensure the protection of the process of our customers will be taken. The costs will be forwarded to the responsible Supplier at the end of this process. These values include, but are not limited to: scrap, spare parts, working hours, travel expenses, transportation of products; provision of third party service assurance processes, line charts in AVIONICS, etc. L) INDICATORS: The indicator that monitor the performance quality of AVIONICS suppliers. Monitoring the performance of individual suppliers can be done online at the AVIONICS site, within the restricted zone for each company. PPM (defective parts / million parts supplied): The 250 ppm limit is adopted as a reference from which the supplier is considered critical. Regardless of PPM generated by an instance, will always be open one RNC (Non Compliance Report). The goal is zero defect. Low performance of this indicator will cause the vendor lock to new developments and you can start a supplier shutdown process. M) PREVENTION FOR COUNTERFEIT PARTS: "Counterfeit parts", part, component, module or assembly whose origin, material, source of production, performance or features are misrepresented. This term includes, but is not limited to, (a) the parties were (re) marked to disguise them or falsely represent the identity of the manufacturer, (B) the defective parts and / or excess material scrapped by the original manufacturer and (C) parts used previously pulled or retrieved and provided as "new". As used herein, "authentic" shall mean (A) genuine, (B) from the claimed legitimate source or implied by marking and product design offered and (C), manufactured by, or under the authority and with the standards of the manufacturer who has legally applied its name and trademark for this model / version of the material. "Independent Distributor" means a person, company or a company that is not authorized or franchised by an Original Manufacturer component (COM) to sell or distribute the products of the CMO, but you want to sell, broker, and / or distribute Página 7 de 12

Supplier represents and warrants that only new and authentic materials are used in products that must be delivered to Avionics and that the delivered products do not contain counterfeit parts. The supplier must maintain a documented system (policy, procedure or other documented approach) which provides for the prior notification and approval Avionics before materials are purchased from sources other original equipment manufacturers (OEM) / OCM. To further reduce the possibility of inadvertent use of Counterfeit Parts, supplier can only buy genuine parts / components directly from OEMs / or through OCMS / distribution chain authorized OEM CMO. The supplier shall provide the Avionics, at the request Avionics, OEM / OCM documentation authenticating the traceability of components to applicable OEM / CMO. Acquisition of parts / Distributors of components is allowed only first approved in writing by Avionics. 10 O) DESIGN AND DEVELOPMENTS During product development, the supplier must submit to AVIONICS analysis of risk on non-compliance of previous events in similar products. These submissions must be proposed by the supplier and the AVIONICS, and should be regulated. The supplier must demonstrate that the previous events will not impact the new product. Commitment to Quality: Supplier with continuous low performance in the above indicators, will be summoned to present its action plan to AVIONICS. This presentation will be held by the Board responsible for operations and / or production and the Manager of Supplier Quality. The presentation will be made to the Quality Manager and accompanied by the Boards involved. P) TRACEABILITY: The supplier must be able to trace for each lot provided the origin of its raw material and its production sequence. Items with safety features / legislation should be supplied with the raw material certificates corresponding to the lot without mixing parts, when required by AVIONICS, the supplier shall forward to the Quality Department at suppliers AVIONICS the list of sub-suppliers, indicators performance and actions to mitigate risk suppliers. Suppliers providing build-to-print items should only use sub-suppliers and raw materials from approved suppliers AVIONICS. The supplier shall identify stored or shipped products for AVIONICS with lot identification of the manufacturer and provide the compliance records. The supplier shall identify the certificate of conformity and register externally on the packaging of each individual product, lot or parties, the date of healing and service life of the product (if applicable). Q) RECORDS RETENTION: Suppliers shall retain records on file for easy access, in accordance with the following requirements: Certificate of raw material used in the manufacture of safety items: 50 years. R) PACKING: Packages must ensure product integrity provided in addition to ease of handling, handling and storage. 11 S) SHIPPING: The freight management takes place as follows: Supplier located in the state of SP - is the supplier's responsibility to transport the products to the logistics operator of AVIONICS. T) AUDITS: AVIONICS, its customers and / or representatives of accredited bodies should have the right to conduct audits, inspections or reviews on the suppliers premises at any time, which may include visits to the sub-suppliers dependencies and / or vendors, to verify compliance the ASQM requirements (AVIONICS SUPPLIERS QUALITY MANUAL), contract, rules, instructions and / or purchase order requirements. The AVIONICS should also have the right to access reports and 3rd party certification data. AVIONICS provide supplier with a provided with written notice at least ten (10) working days before the desired date of audit, inspection or assessment. All these requirements are auditable. The supplier shall facilitate AVIONICS to subsuppliers for joint audits when necessary. U) PRODUCTION PROCESS VERIFICATION: The supplier shall comply with the requirements AVIONICS production part approval process established. The supplier shall plan, conduct and record FAI in accordance with AS 9102 (aerospace requirement FAI- First Article Inspection). V) DATA ANALYSIS: When requested by the AVIONICS, the supplier must provide appropriate information (chart, indicators, conformity index, production reports, etc.) showing their quality performance internally and corrective actions taken to prevent impact on AVIONICS. X) CORRECTIVE ACTION: When corrective action is required by AVIONICS the supplier must respond within the following specified period. supplier containment action and AVIONICS: Brazilian vendor two days useful, international supplier 4 working days. scope of Action - Maximum 20 working days; Analyze root cause and action plan - Maximum 20 working days; Implementation of corrective actions - Maximum of 60 working days. 12 When the quality of performance is outside the target set, AVIONICS will ask the supplier an action plan to contain the problems and corrective actions. AVIONICS reserves the right to take actions such as: source inspection by AVIONICS or third party audit process conducted by AVIONICS or third party, etc., to be performed on the premises of the supplier or its subcontractors in order to support the customer service (s) plans (s) of action. When requested by AVIONICS, the supplier must send a representative or technical team with equipment and tools required to support the process of research and containment action in AVIONICS facilities. AVIONICS will request this action when one of the following situations occur. COMMUNICATION WITH SUPPLIERS: The communication provider with AVIONICS should be done preferably by phone contact with the transmission of data by .
