4 1 General Conditions Flughafen Paderborn/Lippstadt Ltd. Company (hereafter FHG) levies the airport charges contained in this fee schedule according to the following Terms and Conditions. Differing terms and conditions of# the user do not apply, even if FHG did not object to them. 1.1 Debtors of Fees Debtors of fees are joint debtors: a) the airline under whose airline code/flight number the respective flight is operated, b) the airlines under whose airline code/flight number the respective flight is operated (code sharing) c) the aircraft operator; d) the natural or legal person using the aircraft without being the airline operator or owner, such as charterer or lessee. 1.2 Turnover Tax All amounts mentioned in this fee schedule or elsewhere are net amounts, i.e. domestic companies have to pay the turnover tax in addition at the current rate regulated by law unless they provide evidence that their sales figures are subject to one of the legally standardized tax exemptions ( 4 No. 2, 8 Turnover Tax Act). 1.3 General Terms of Payment/Other Invoices of FHG are payable without reductions and within the specified periods of time. Airport charges can be invoiced to the debtor in mutually agreed accounting periods, if he makes advance payments to an amount mutually agreed upon or if he provides an appropriate loan security in particular an absolute guarantee or a security deposit in money. Security deposits in money are not interest-bearing nor to be invested separately of its remaining assets by FHG. If there is no security agreement the airport charges accumulating up until then are due for payment before each departure. FHG can also make the airport charges payable immediately after utilization of the delivery or service. Paderborn/Lippstadt Airport Ltd. Company accepts cash payment by means of valid credit cards of Eurocard/Mastercard, Visa, Diners Club international and American Express as well as with valid EC Card or EC-Servicecard respectively. Besides BP-Carnet as well as UV-air Carnet are accepted for fuel deliveries. Administration costs amounting to 10,00 per invoice will be charged to cash paying debtors who did not pay the incurred fees before departure. A cash payment can only be abandoned if the debtor either has made an advance payment or Paderborn/Lippstadt Airport Ltd. Company has been provided with a security deposit (up to the amount of the expected transaction volume in the coming three-months-period) in terms of a deposit or an absolute bank guarantee of a bank located in the Federal Republic of Germany. Arrangements in an individual agreement are possible. 4

5 Paderborn/Lippstadt Airport Ltd. Company reserves the right to amend charges and the scope of services rendered. The debtors of fees will be informed about these changes in due time. In case of non-compliance with the payment periods individually agreed upon Paderborn/Lippstadt Airport Ltd. Company is authorised to charge interests for delay per each started month beginning at the day when the delay of payment sets in amounting to 2 % up to the amount determined in 288 (1) Civil Law Code if no other arrangements have been made contractually. Besides FHG can insist on future cash payment. Delay of payment sets in 14 days after issuing an invoice at the latest. A setoff with not accepted or legal debt claims is not possible. 1.4 Liability Paderborn/Lippstadt Airport Ltd. Company shall be liable for neglect of duties to the full extent of the resulting damage if such damages are due to negligence or wilful misconduct of an agency or a chief executive of Paderborn/Lippstadt Airport Ltd. Company. Furthermore Paderborn/Lippstadt Airport Ltd. Company shall be liable for bodily injuries due to culpable neglect of duties. Basically FHG shall be liable for any culpable neglect of essential contractual duties; beyond such duties FHG shall be liable for gross negligence of its servants. In both last-mentioned case groups FHG shall be hold liable for compensation of the typical foreseeable damage. For the rest liability is excluded. 1.5 Court of jurisdiction, place of fulfilment, applicable law, other Exclusive jurisdiction is Paderborn as far as the contractual partner is a businessman, a corporate body under public law or special assets under public law. FHG is authorised to take the contractual partner to court at his general court of jurisdiction. Place of fulfilment is Paderborn. The legal relationship between the cocntractual partner and FHG is exclusively subject to the law/ legislation of the Federal Republic of Germany. If a part of these terms of business is invalid this does not imply that the remaining part is also invalid. 2 Landing-, Passenger-, Approaching-, Parking- and Mooring Mast Fees 2.1 Landing Fees For every landing of an aircraft at Paderborn-Lippstadt Airport a fee (landing fee) is payable to the airport company The amount of the landing fee is based on the maximum take-off weight (MTOW) as entered in the certificate of airworthiness and for commercial air transport additionally on the number of passengers aboard the aircraft when landing. The MTOW shall be proved by the Airplane flight Manual (AFM) Basic Manual Section for Weight Limitations. Until presentation of these documents, the maximum known MTOW of this aircraft type will be taken as a basis. Reimbursements will not be made The part of the landing fee based on the maximum take-off weight of the aircraft for powered aircraft with a maximum take-off weight of up to 2,000 kg which, as evidenced by 5

Decisive for calculating the charges is the actual presentation of complete evidence, verifiable by the airport operator, concerning the observance of the afore-mentioned conditions by the aircraft operator prior to take-off. If no evidence is presented for an aircraft to be grouped into the corresponding category, charges will be calculated on the basis of the category not licensed in accordance with ICAO Annex 16 and LSL, respectively. If no evidence is presented for an aircraft to be grouped into the corresponding category, charges will be calculated on the basis of the category not licensed in accordance with ICAO Annex 16 and/or LSL. Reimbursements will not be made: 7

8 d) For training and instruction flights the charges listed under 2.1 are subject to reduction for aircraft with a noise certificate and a maximum take-off weight of 50%. The reduced charge amounts to at least 4,60. e) Training flights pursuant to para d) are flights during which a civil student pilot within the scope of his training at an approved training institution (flight training school) meets the requirements necessary for obtaining a civil pilot s licence or an authorization pursuant to the Prüfordnung für Luftfahrtpersonal (Test Regulations for the Licensing of Aviation Personnel). f) Instruction flights pursuant to para d) are flights during which technical and flight instructions are given to civil pilots; the pilots to be instructed have to be in possession of the pilot s licence prescribed for the type of aircraft being flown; the instructor must be aboard the aircraft being used. g) For hovering flights of rotorcraft which exceed the extent of comparable taxiing movements of fixed-wing aircraft a charge will be levied to the amount of a landing fee for every 10 minutes or part thereof. The reductions for training- and instruction flights according to paragraph d) will be applied. h) Aircrafts with a verifiable year of manufacture before 1965 receive a discount of 50% on the fees mentioned under 2.1. An additional discount subject to d) regarding training or instruction flights does not apply The part of the landing fee based on the maximum take-off weight of the aircraft is also payable for a touch-and-go landing with immediately ensuing acceleration and take-off of the aircraft No landing fee is payable for emergency landings due to technical failure of the aircraft or due to hijacking unless the destination airport as scheduled is concerned. Diversionary landings are not emergency landings In the case of an official flight of a civil aeronautical authority of the Bund (German Federation) or a Land (German Federal Land) no landing charge is payable insofar as the maximum take-off weight of the aircraft does not exceed 5,700 kg and a certificate for the official flight from the aeronautical authority can be presented The landing fee for powered gliders, gliders and aerial sports equipment amounts to 4, A volume discount applies if a customer exceeds the total number of 1500 landings within one calender year at Flughafen Paderborn/Lippstadt. A discount of 15% on fees mentioned under 2.1 will be granted with each landing starting at the number

9 2.2 Approaching Fees A fee (approaching fee) will be raised for the utilization of ATC services and facilities by aircraft approaching and departing from Paderborn-Lippstadt Airport Entry into the CTR in order to approach or an approach in connection with a landing is considered as utilization. Charges start to count with the entry and/or landing. Repeated touch-and-go approaches will be regarded as one process and each one will be calculated separately The fee for a utilization amounts to for every 1,000 kg of the max. take-off weight maximum valid from 01. JAN ,35 250, The minimum fee for approaches without a landing amounts to 10,00 per approach with an additional processing fee of 10,00 if the accounts department (Operations) is not notified of the exact recipient of the invoice prior to the approach The regulations for the reduction of landing fees for training and instruction flights in accordance with para 2.1. apply accordingly to approach fees (para 2.2). Insofar as the approach or departure in the context of training or instruction does not take place together with a landing respectively, the reductions do not apply A volume discount applies if a customer exceeds the total number of 1500 approaches with landings within one calender year at Flughafen Paderborn/Lippstadt. A discount of 15% on fees mentioned under 2.2 will be granted with each approach starting at the number of Low Approach is excluded from this discount. With the annual financial statement the total number of landings within one calender year is calculated per customer. The amount of support (under and 2.2.6) will be given the following year. Amounts of support for airlines can be charged up against demands from this table of charges by the FHG. 2.3 Parking Fees A rent (parking fee) is payable to the airport operator for the parking of an aircraft at Paderborn- Lippstadt Airport. The scale of the parking charges is based on the approved maximum take-off weight of the aircraft. The parking fee for every 24 hours or part thereof is for powered airplanes with a maximum take-off weight of 9

10 up to 1,000 kg 2,50 more than 1,000 up to 2,000 kg 3,50 more than 2,000 kg for each 1,000 kg or part thereof 2,10 No parking fee is payable if the total parking time between landing and departure of the aircraft does not exceed 4 hours. For the parking of aircraft which is expected to exceed 30 consecutive days a rental agreement may be made between the aircraft operator and the airport operator prior to the beginning of parking. 2.4 Mooring Mast Fees Use of the airport by airships is subject to a mooring mast fee and a landing fee. The mooring mast fee is payable upon the setting up of a mooring mast and is for every 24 hours or part thereof: for airships up to 50 m total length 75,00 for airships from 50 m upwards total length 100,00 for airships over 60 m total length 125,00 The period decisive for calculating the mooring mast charge begins with the setting up of the mooring mast and ends with its dismantling. The landing fee is payable upon the landing of an airship and is: for airships up to 50 m total length 30,00 for airships from 50 m upwards total length 35,00 for airships over 60 m total length 40, Passenger Fees The part of the passenger fee based on the number of passengers aboard the aircraft when landing amounts to the following per passenger: provided the preceding departure/the subsequent landing of the aircraft has been effected 4,45 from an aerodrome within the European Union provided the preceding departure/the subsequent landing of the aircraft has been effected 5,55 from an aerodrome outside the European Union The number of passengers aboard the aircraft when landing will not include: passengers in an aircraft with a maximum take-off weight of up to 2,000 kg, personnel of the aircraft operator with passenger tickets for which not more than 10% of the price for a regular ticket has been paid, children under 2 years of age not entitled to occupy a seat. 2.6 Security Fees Security fee per disembarking passenger 0,64 In order to settle the costs for services rendered according to EU-Regulation No. 300/2008 in order to determine a common set of regulations for the security in civil aviation a security fee is payable for all 10

11 flights. This fee is based on the number of passengers aboard the aircraft when landing. 2.7 Passengers with Reduced Mobility (PRM) Fees PRM-fee per embarking passenger 0,33 For the assistance of handicapped passengers and passengers with reduced mobility according to EU-Regulation No. 1107/2006 a fee is payable for all flights which is based on the number of passengers aboard the aircraft at take off. 2.8 Special Regulations a) The part of the landing fee based on the maximum take-off weight of the aircraft is also payable for a touch-and-go landing with immediately ensuing acceleration and take-off of the aircraft. b) No landing fee is payable for emergency landings due to technical failure of the aircraft or due to hijacking - unless the destination airport as scheduled is concerned. Diversionary landings are not considered as emergency landings. c) In the case of an official flight of a civil aeronautical authority of the Bund or a Land of the Federal Republic of Germany, no landing charge is payable insofar as a certificate for the official flight from the aeronautical authority can be presented. d) For gliders landing fees are levied by special agreement. 3 Central Infrastructural Facilities 3.1 Rules and descriptions The Paderborn/Lippstadt GmbH operates and manages central infrastructural facilities in order to render passenger and ground handling services determined by the airport regulations (FBO= Flughafenbenutzungsordnung). Regardless of whether the airline carries out the passenger and ground handling services on their own or whether they transfer them to a third party, they are obliged to use the central infrastructural facilities. The available central infrastructural facilites of the passenger and ground handling services as well as their management and operation are described in the respective specification of services. As far as the use of personnel is necessary for the operation of central infrastructural facilities this will be carried out exclusively by persons authorized by the airport company (except for check-in). 3.2 Check-in Counter The number of check-in-counters for the passenger handling services made available by the airport company will exclusively be determined by the airport company and depends on the existing capacities and the requirements of a smooth handling of the passenger volume resulting from the flight schedule. The scope of services check-in counter includes: a) counter as well as furniture including the space, 11

12 b) telephone set and extension, c) power supply, d) baggage scales including transfer belt, e) visual display unit and network connections for the monitor and the cute equipment. 3.3 Check-in Fee The airlines and/or handling companies have to pay a fee amounting to 1,10 per offered seat of the departing aircraft for the use of the check-in counters in all domains relevant for passenger handling including the appropriate EDP-system, for the passenger handling as well as the passenger information system. If the aircraft is occupied with less than half of the offered seats the fee amounts to 2,20 per occupied seat. If no EDP-check-in is used the infrastructural fee is reduced to 0,90 per offered seat and/or 1,90 per occupied seat. 3.4 Central Infrastructural Facilities Handling Aprons Provision of handling aprons with lighting equipment including the areas required for taxiing as well as for the provision of aircraft handling vehicles and equipment; parking of aircraft for the period of ground handling up to four hours; the airport can determine a change of position for technical reasons when the handling procedure has been completed; use of taxiway areas for the purpose of taxiing movements between taxiways and ground handling positions; use of the areas provided for aircraft handling vehicles and equipment during handling procedure; self-handlers are obliged to leave the parking areas in a proper state after completion of handling procedure Passenger Bridges Provision of passenger bridges including the appropriate boardingstations for handling procedures near terminal; operation of passenger bridges during handling procedure Stationary ground power supply Provision of stationary ground power supply units at passenger bridges; establishing a connection of the ground power supply unit with the aircraft. The provision of ground power is part of the ground services Conveyor belt Provision and operation of conveyor belt at arrival and departure; provision of baggage handling equipment including the required premises and delivery areas; 12

13 sorting and provision of baggage; transport of departure baggage to transfer point; transport of arrival baggage from transfer point to baggage claim area and/or transfer entry; handling transfer-, bulk baggage and diplomatic bag Equipment for marshalling of aircraft Supervision of operational safety on handling apron; provision of follow-me vehicles; performance of marshalling services Flight information system Provision and operation of technical information facilities required for informing all services operating at the airport as well as for informing the passengers; performance of traffic planning and traffic control; operation of passenger information service points, in particular information desks in the terminal area Aircraft de-icing system Provision of designated de-icing areas including the disposal facilities; provision of equipment for storage and treatment of water and de-icing fluids. The de-icing procedure is part of the ground services Fresh water supply The fresh water supply of the aircraft is part of the ground services Disposal of faeces The disposal of faeces at the aircraft is part of the ground services System of waste disposal Provision of areas and technical equipment for the appropriate collection and treatment of waste; provision of waste containers. The waste disposal is part of the ground services. 3.5 User fee for central infrastructural facilities ground handling services Charges for commercial air traffic 13

14 SEATS , , , , , , , , , , , , , , , , , , , , ,85 4 Terms of Business Ground Handling Services of Flughafen Paderborn/Lippstadt Ltd. Company 4.1 General Terms and Conditions Performance of handling services Flughafen Paderborn/Lippstadt Ltd. Company (hereafter FHG) shall carry out, to the extent of their technical and personnel capacities, the ground handling services listed in the specifications of basic services and in the specification of additional services on their own and/or by authorized firms. Upon request FHG will also render services required for aircraft handling that are not listed in the specification of basic services and in the specification of additional services. Such special services shall be provided according to the availability of personnel and equipment and will be charged separately. FHG shall provide the required services by trained staff. FHG is entitled to use the services of third parties as servants. FHG reserves the right to charge for services that may be required due to handling regulations and that exceed those indicated in the specifications of services in accordance with the schedule of fees for special services. The airline (hereafter LVG) and FHG support and advise each other with regard to provision of 14

15 the ground handling services and act on mutually expedient recommendations when possible. LVG shall provide FHG with information and instructions required to render proper services. If necessary, FHG shall request appropriate information and instructions from the airline. FHG will pass on information contained in the airline s flight documentation to third parties only with the airline s consent, in so far as this does not conflict with legal provisions Scheduled flights FHG undertakes to render the ground handling services indicated in the specification of basic services and in the specification of additional services for the airlines scheduled flights without previous request. Scheduled flights are such flights that are reported to FHG (air traffic management/operations) not later than 72 hours before landing. In order to put FHG in a position to render its services, the airlines are obligated to inform FHG as early as possible of the number of flights scheduled within a flight schedule period. This information includes the type of aircraft and the version, the flight number, the planned arrival and departure times and the airport of departure as well as all significant special features which are relevant for handling. LVG further agree to inform FHG as early as possible of all changes referring to scheduled flights. This applies in particular to delays, early arrival and cancellation of flights Non-scheduled flights, special flights For non-scheduled flights carried out at Paderborn-Lippstadt Airport by the airlines or on behalf of the airlines FHG will also render the ground services at its earliest convenience, taking into consideration the duties already taken on within the scope of its technical and personnel capacities. The airlines agree to announce these flights in due time Priority If planes that have not been announced or have been announced with delay cause an overlapping with the handling of planes of other airlines, FHG reserves the right to handle the scheduled and announced planes with priority Documents for ground services The documents and information required for rendering the ground services will be placed at the disposal of FHG in due time by the airlines Special assistance (emergencies) In emergencies (emergency landing, accident) FHG will immediately take all appropriate and possible measures, even without being instructed by the airline, to assist passengers and crew and to protect luggage, cargo and mail carried in the aircraft against loss or damage. In case of acts of violence the provisions of 29 of the Civil Aviation Law are to be observed. The costs thereby incurred will be reimbursed to FHG by the airlines. 15

16 4.1.7 Standard of ground services The ground handling services are rendered in accordance with the usual procedures at FHG and in accordance with international standards. FHG will carry out its services with trained staff. If necessary, representatives of the airlines and of FHG will meet in order to discuss any questions in connection with the process and quality of the ground services. For the assessment of the causes of handling problems the punctuality procedure of the airlines is to be taken into account Fees and charges For the basic services rendered by FHG handling fees according to the following specifications are to be paid depending on the actually used scope of services. For additional and special services that are not included in the basic services but are used by the airlines a fee according to the following specifications is to be paid. Set-off against counterclaims is allowed only with the consent of FHG. The basic handling fees and the fees for special services are fees in the sense of 10 para 1 of the Value Added Tax Act. Therefore, value added tax is to be paid additionally by the airlines Adjustment of fees and charges FHG is entitled to adjust the handling fees in accordance with the general development of costs or for important reasons. The airlines will be informed of the adjustments one month before they enter into force Payment arrangements The fees and charges are payable according to chapter Liability Paderborn/Lippstadt Airport Ltd. 17 Other If one of the provisions of these general terms and conditions of business fails to comply with the legal regulations, this provision shall be replaced by a legally permitted provision which comes as close as possible to the intention resulting from the ineffective provision. The validity of the remaining provisions shall not be affected by this. The terms and conditions of business and any contractual relationships which are based on these are subject to the law of the Federal Republic of Germany. Place of performance and court of jurisdiction is Paderborn. 4.2 Description of Basic Services Operations 1. Compilation and provision of all flight documentation required (NOTAMs, flight schedules, weather etc.), 2. preparation of loading documents, 3. preparation of load and trim sheets, 4. maintenance of documentation (tripfiles, GOMs), 5. coordination of all work during ground time (cleaning, catering, loading and unloading, slots etc.), 6. transmission of post-departure messages, 7. handling of irregularities (diversions, cancellations), 8. contacting the various airlines in case of irregularities, 9. updating of various computer programmes e.g. in case of aircraft change. 4.3 Description of Basic Services Ground Handling 1. Ramp handling (supervision of handling procedures according to airline procedures), 2. parking (provision and marshalling; positioning and/or removing blocks at the nose landing gear, aircraft clamping devices, tail supports and landing gear locking devices according to the customer s instructions, 3. engine start-up, 4. safety procedures immediate reporting to the customer of all defects found on aircraft and cargo, irrespective of the question of cause and time, 5. emptying of toilets and waste containers as well as replacement of chemicals in the toilets and refilling of flush water containers toilet and fresh water service (chemicals are supplied by the customer or separately charged by the airport), 6. opening, closing and, if necessary, securing of doors and loading hatches of the aircraft according to the customer s instructions, 7. one-time loading, stowage and securing of loads according to written instructions and, if necessary, under the supervision of the airline; 8. securing of load with the material made available by the customer (material is supplied by the customer or separately charged by the airport), 9. one-time unloading of load according to written instruction of the airline; 10. provision, operation of appropriate equipment for the transportation of luggage/load from the aircraft to the transfer point of the central infrastructural facilities; release via conveyor belt, 11. transportation of registered luggage between point of baggage claim and aircraft, 12. transport of passenger and crew loading steps along with accessories to and from the aircraft; 17

18 13. transport of loading and unloading equipment and vehicles to and from the aircraft; 14. provision and operation of vehicles for the transport of passengers between aircraft and terminal, 15. at customer s request and according to the latter s instructions unloading and loading of crew baggage and transportation of crew baggage between aircraft and arrival hall or between baggage counter and aircraft, 16. unloading and loading as well as transportation and storage of ballast. If requested by the customer, provision and filling of ballast tanks against extra charge, 17. provision of ground power supply units during ground-stop time for up to 1 hour; 18. transportation of cargo between aircraft and airport freight storage room. 4.4 Description of Basic Services Passenger Handling 1. Check-in of passengers according to the procedures of the respective airline including check-in counters, 2. late night check-in at the airport and the satellite offices, 3. boarding, 4. handling of UMS, MAAS etc., 5. supervision of all check-ins, 6. trainings of employees, 7. handling of all irregularities, 8. flight preparation and post departure works (telexes, sorting and sending tickets). 4.5 Description of Basic Services Baggage Tracing 1. Dealing with all irregularities and delivery of baggage, 2. lost property. 4.6 Handling Fees for Basic Services For handling services rendered within the published business hours which are included in the basic services listed in the specification, fees for services concerning landing and take-off are payable according to the Schedule of Fees and Charges plus the legal rate of value added tax. The provision of handling staff, vehicles and equipment by the airline company without previous agreement as well as reduced or cancelled handling services due to a low load factor or other reasons beyond the airport company s control have, as a matter of principle, no effect on the handling fees. 4.7 Technical Landings For technical landings (handling without change of load) no basic service fees will be charged for landing. 4.8 Special Regulations a) In case of separate handling, i.e. if the period between landing and take-off of an aircraft is longer than three hours, the fees for the basic services are increased by 20% to 120%. If the aircraft stays longer than 24 hours the fees for the basic services are increased by 100% to 200%. b) If, after the loading process has been completed, but before completion of the total handling, partial 18

19 unloading or loading takes place upon request of the airline company, the fees for basic services are increased by 50% to 150% if the aircraft takes off on the same day and the loading and unloading work is to be partially repeated. If all of the handling work is to be done twice, the fees for basic services are increased by 100% to 200%. c) If take-off is cancelled after completed loading, the basic fees are increased by 100% to 200% because of the additional work of re-unloading. d) If, during the handling of a passenger aircraft, the loading or unloading volume is more than 50% of the weight of the aircraft s loading capacity for cargo or mail, the fees for the above-mentioned services are increased by 25% to 125%. e) If the handling of a pure freight carrier is concerned, the fees for the above-mentioned services are increased by 100% to 200%. The fees for handling of a pure freight carrier will be charged according to the corresponding MTOW category of a passenger aircraft. f) If the landing takes place between 22:00 h and 06:00 h local time a surcharge of 30% on the basic fees for ground handling services will be raised. g) If handling of an in- or outbound ferry-flight is concerned 50% of the fees for the basic services are invoiced plus additionally requested special services. h) If handling of an in- and simultaneous outbound ferry flight (training flights, transfer to hangar etc.) is concerned 30% of the fees for the basic services are invoiced plus additionally requested special services.
