3 Section-1 Instruction to Tenderers: 1.1. Introduction: Biman Bangladesh Airlines Ltd. (Biman) invites Technical and Financial offers from Airlines or Maintenance Organizations having in-house capability to perform Redelivery Check (Phase 14, C-check or equivalent check) on Boeing ER aircraft powered by PW4090 Engine. The MRO capability shall have FAA and/or EASA approval, and Local Regulatory Authority Approval with the Approval Schedule showing Base Maintenance capability on Boeing ER aircraft powered by PW4090 Engine. Biman intend to accomplish the Re-delivery Check Packages on two (02) leased ER aircraft for lease return to the Lessor. The tender schedule contains total 19 pages including the Cover Page. Two separate Work Packages for two aircraft S2-AHL and S2-AHK are attached as separate file which contains System Tasks, Structure Tasks, Zonal Tasks, Inspection Orders, TCIs and other Tasks. Currently the engines are installed on opposite aircraft as compared to the delivery status at Lease commencement. Therefore, to meet the re-delivery schedule, the engines between these two airplanes need to be swapped. Biman intends to position the first aircraft for re-delivery check, and the second aircraft immediately after for the engine change only. After engine change, second aircraft will return back to service and the first aircraft will continue with the re-delivery Check towards return to Lessor. The second aircraft will be positioned again for the re-delivery Check at an agreed schedule towards return to Lessor. Tenderer shall provide all information according to the tender schedule and quote price for the requested items to qualify for the tender. Page 3 of 19

5 1.3. Tenderer's Qualification: The Tenderer must have: (a) Valid Certificate of Approval of FAA and/or EASA Part 145 & Local Regulatory Authority approval for performing C-Check (Phase 14 or equivalent checks) on B ER Aircraft fitted with PW4090 Engine. (b) (c) (d) (e) Requisite facilities, necessary equipment, tools, engine replacement tools & stand/dolly and spare parts to perform Re-delivery Check Package on Boeing ER Aircraft as described in the work package. An independent Quality Assurance program that: i) Monitors compliance with applicable airworthiness regulations, requirements and the maintenance procedure manual of the tenderer. ii) Addresses the specific requirements of the operator, as specified in the tender schedule. iii) Comprises the specification and control process as specified in Biman Quality Assurance Program Performed at least 05 (Five) Re-delivery/C-Check/Phase 14 Checks or equivalent checks on ER aircraft during the preceding five (05) years period from July 2012 to June 2017 inclusive. Maintenance capability on MATSHUSHITA MAS 2000E IFE System Documents to be provided along with the Tender Offer: (a) (b) (c) In support of the Tenderer qualification as stated in Para 1.3 the Tenderer shall submit:- i) Track record of aircraft mentioning MSN, Registration mark and the date of completion of each Re-delivery/C-Check/Phase 14 Checks or equivalent checks during last five (05) years per para 1.3. ii) Date of available Hangar slots to perform Re-delivery Check Package to meet the re-delivery schedule of S2-AHL (MSN 32630) on 19 March 2018 and S2-AHK (MSN 32629) on 04 May iii) Tenderer shall provide copies of valid FAA and/or EASA certificate of approval and local Regulatory Authority approval including Approval Schedule along with the offer. The Tenderer shall submit a draft agreement that shall comply with all terms & conditions of the Tender Schedule and any additional terms mentioned in the submitted offer. Draft copy of agreement shall highlight each corresponding requirements of Tender Schedule and shall include, but is not limited to the following: -`Statement of Work' (SOW) for the Maintenance Agreement that contains the detailed technical requirements, including references to maintenance intervals, manuals, Airworthiness Directives (ADs), Service Bulletins (SBs) and operator special requirements. A clear, unambiguous and sufficiently detailed SOW and Page 5 of 19

6 1.5 Validity of Offer: assignment of responsibilities are required to ensure no misunderstanding arises between the operator, the Contractor and the operator's Authority that could result in a situation where the work, which has a bearing on the airworthiness or the serviceability of operator's aircraft, is not properly performed; -Requirement for the airlines / maintenance organization to produce a suitable quality plan for the project; -Use and control of parts and materials; -Process for the approval of deviations from maintenance documents; -Need for an internal evaluation system by the airlines / maintenance organization; -Access by the customer's quality assurance department staff for the purpose of evaluating ongoing quality; -A reporting structure that immediately notifies the customer immediately if there is any defect, un-airworthy condition, failure or malfunction which are related to aircraft structure, power plant, aircraft systems or equipment; -A system of completing, reviewing, retaining maintenance records; -A system of calibration of tooling and equipment; -A system of managing customer supplied parts; -A system of inspecting and testing, i.e., a quality control system; -A system of handling unsatisfactory product; -A system of handling, storage, packaging and delivery; -A system of product identification and traceability; -A system of training by the airlines / maintenance organization of its staff including continuation training not exceeding 36 months interval, -A system of Release To Service of an aircraft or component; -A system for communication between the customer and the airlines / maintenance organization; -The Maintenance Agreement will be treated as Service Level Agreement (SLA). The offer must be valid for 120 days from the closing date of offer submission. Page 6 of 19

Tel: The tender Offer may also be submitted in the Tender Box which will be placed at Biman Hangar Gate (Gate # 8) on the closing date or by Courier Services addressed to the Director Engineering & Material Management per address as mentioned above or electronically through rdc@bdbiman.com on or before 1400 hours (Bangladesh Time) dated 21 December (b) (c) (d) The envelope shall bear the following identification mark: Re-delivery Check of Biman ER aircraft S2-AHL (MSN 32630) and S2-AHK (MSN 32629) The tender offer shall be signed and stamped in each page for submitting the hard copies. Biman Bangladesh Airlines Ltd. reserves the right to accept or reject any or all the offers submitted by the Tenderers without assigning any reason whatsoever. 1.7 Opening of Tender: The received offers will be opened at 1430 hours (LT) on 21 December 2017 in presence of Tenderers or their authorized representatives, if any. No offer would be accepted after the closing date & time. (Note: In case of opening date is declared as public holiday, Tender opening will take place on the next working day same time). Tenderer must ensure that Offer sent by postal/ Courier service reaches before the closing time. The Tender opening shall take place at the following address: Conference Room, Bangladesh Airlines Training Centre (BATC), HSIA, Dhaka-1229, Bangladesh. Time & Date: 1430 hours (LT) on 21 December Evaluation criteria: Evaluation (Technical & Financial) of the tenders will be based on but not limited to, the following sections/sub-sections of the tender schedule: Section-1, Para-1.3(a),(b),(d),(e) 1.4 (a),(b) & 1.5. 8 1.9 Rejection of Tender Offer: Biman shall reject the tender offer and declare a Tenderer ineligible if: (a) A Tenderer withdraws its Tender offer within the validity thereof. (b) (c) The Tenderer does not accept the correction of the tender amount (purely arithmetical errors) that are discovered during the examination of tender. A Tenderer submits a document containing false information / materially inaccurate/ materially incomplete for purpose of qualification. Page 8 of 19

Preparation of Tender 2.4 The tender offer, as well as all correspondence relating to the Tender shall be in English language 2.5 The Tenderer shall submit a draft agreement that shall comply with all terms & conditions of the Tender Schedule and any additional terms mentioned in the submitted offer. 2.6 The Tenderer shall mention TAT for each aircraft Check to meet re-delivery schedule of S2-AHL (MSN 32630) on 19 March 2018 and S2-AHK (MSN 32629) on 04 May 2018 back to the Lessor. 2.7 The Tenderer shall quote fixed price for Re-delivery Check Package of each aircraft separately as per para 3.1. The fixed price shall remain valid for the duration of the contract. The financial offer shall include the following: (a) Fixed price for each aircraft MSN32630 and MSN32629 for the Re-delivery check package per para 3.1(a to n, except f and h) (b) Fixed price for swapping both engines (PW4090) between the aircraft MSN32630 and MSN32629 to meet the Re-delivery configuration per para 3.1 (h). (c) Man-Hour rate for unscheduled/non-routine work. (d) Payment terms. The Tenderer shall submit separate technical and financial offer for each aircraft S2-AHL (MSN 32630) and S2-AHK (MSN 32629) in one Envelope. Any subcontractor work, if required, must be accomplished by FAA/EASA approved organization with the consent of Biman. D. Evaluation of offer 2.11 The evaluation condition shall be as follows : (a) To determine technically responsive offer, all received offers shall be evaluated after application of all the evaluation factors as indicated in Para 1.8. (b) Amongst the technically responsive Tenderer(s) determined per para 2.11(a), the financially lowest tender offer shall be considered as successful Tenderer. Page 9 of 19

10 Section-3. Particular Conditions of Contract 3.1. Tenderer s Responsibility (Scope of Work) : (a) (b) (c) Tenderer has to perform the Re-delivery Check package as per the attached Work Package in Section-05. Positioning of re-delivery Check aircraft from Tenderer s airport arrival gate to Tenderer s facility, hangar-in and out, repositioning the aircraft back to departure gate, ground handling at Tenderer s airport etc. shall be the responsibility of Tenderer. The same would also be applicable for the second aircraft positioned for engine swapping. Tenderer shall carry out all scheduled/routine work on aircraft & components (repair / restoration of on / off wing components) per Re-delivery Check Package and provide all materials, consumables and expendables as required within the quoted fixed price. If needed, unserviceable item(s) from the aircraft may be removed, restored and fitted back to aircraft. Tenderer shall also carry out all un-scheduled / non-routine work arising out during performance of Re-delivery Check Package and if needed, unserviceable item(s) from the aircraft may be removed, restored and fitted back to aircraft. The cost of un-scheduled / non-routine work shall be calculated on the following methodology: i) Labour cost up to 20 (twenty) man-hour for a single non-routine work to be included within the quoted fixed price of re-delivery Check Package. For clarity - if 25 man-hours are involved for performing a single nonroutine work, cost of 20 man-hours shall be absorbed within the quoted fixed price and rest 05 man-hours shall be charged as additional work. For any additional work on non-routine job cards, prior written approval/consent of Biman on-site representative is required for billing. (ii) Cost for all Materials, consumables, expendables up to US$ (United States Dollar Five Hundred) per CLP for a single non-routine work to be included within the quoted fixed price. For clarity - if US$ (US Dollar Five Hundred Fifty) is involved for performing a single non-routine work, cost of US$ (United States Dollar Five Hundred) shall be absorbed within the quoted fixed price and rest US$ (US Dollar Fifty) shall be charged as additional cost. For any non-routine job cards, prior written approval/consent of Biman on-site representative is required for billing. (iii) Repair/overhaul cost of parts, components and LRU s (other than components listed in the work package) up to US$ (United States Dollar Five Thousand) for a single item to be included within the quoted fixed price. For clarity if US$ (US Dollar Five Page 10 of 19

11 Thousand Five Hundred) is involved for repair/overhaul of a part / component / LRU s, cost of US$ (US Dollar Five Thousand) shall be absorbed within the quoted fixed price and rest US$ (US Dollar Five Hundred) shall be charged as additional cost. For any repair/overhaul cost on non-routine job cards, prior written approval/consent of Biman on-site representative is required for billing. (d) Any serialized component if provided by the Tenderer, full traceability back to birth history shall be provided for each component/lru and shall have applicable FAA/EASA Airworthiness Release Certificate. The hours/cycles of any supplied hard time component shall not exceed the hours/cycles of the aircraft. (e) If any component declared Beyond Economical Repair (BER- considering repair cost is more than 65% of current market price of the serviceable component), having proper supporting documents provided by the Tenderer & accepted by the Biman onsite representative, shall be excluded from fixed price and be charged as additional. (f) Tenderer shall also perform works other than the Re-delivery Check Package such as Airworthiness Directives (AD), any Service Bulletin, repair work, deferred defect rectification etc. that Biman may ask to perform without affecting TAT. If any major structural repair or replacement is involved, TAT may be extended reasonably with mutual consent by both the parties. Biman will provide Mod-Kit if needed for any requested modification. Written approval / consent from Biman representative shall be taken for performing any additional work and shall be charged on time and materials basis. (g) Tenderer shall make the IFE system fully functional under fixed price quote. Description of installed IFE system: Model: MAS 2000E Manufacturer: MATSHUSHITA ELECTRONICS, JAPAN. NOTE: List of major items/components with part number and quantity per ship set can be provided upon request. (h) Biman require swapping both engines (PW4090) between the aircraft MSN32630 and MSN32629 to meet the Re-delivery configuration. Tenderer shall quote separate fixed price for such engines swapping. The fixed price shall be inclusive of all man hours, consumables, expendables, tools & equipment, second aircraft towing & positioning to/from gate, re-fuelling, maintenance check flight due both engine replacement etc. (i) Tenderer shall be capable of aircraft exterior painting and aircraft weighing; shall perform painting and weighing as per the task cards included in the Work package within the quoted fixed price. (j) After completion of re-delivery Check Package, the Tenderer must accomplish aircraft System Performance Check where applicable, if required system check is to Page 11 of 19

12 be carried out with engines ground running. Due to engine swapping, the first aircraft would also require maintenance check flight due both engine replacements, to be conducted by Biman Crew, at the end of re-delivery check. However, this maintenance check flight and return demonstration flight per para (j) can be performed together. (k) After completion of Re-delivery Check Package and prior to technical acceptance of the Aircraft by Lessor, the Tenderer must arrange accomplishment of a return demonstration flight per task card in the package for 01 (One) hour including required Fuel & other supplies and shall perform post demonstration flight defect rectification as required within the quoted fixed price. The demonstration/maintenance check flight shall be performed by Biman flight crews. (l) The tenderer shall carry out a complete (100% of all accessible stages and sections) Video BSI of each Engine as per task card included in the Work Package after completion of return demonstration flight within the quoted fixed price. 2 Copy CD for each engine Video BSI along with the Report to be provided. (m) The Tenderer must agree to comply with any and all directives/instructions issued by CAAB (Civil Aviation Authority of Bangladesh) and FAA and /or EASA as applicable in respect to the respective aircraft. The successful Tenderer shall have to obtain CAAB Part-145 AMO approval prior to commencement of Re-delivery Check. (n) The tenderer shall make all arrangement and necessary permission/clearances for the flight to the Lessor s Airport within the quoted fixed price. Biman will provide required Fuel and Flight Crews for the flight from MRO s airport to Lessor s airport. (o) Tenderer shall agree to pay all local taxes, VAT and custom duty. 3.2 Price Quotation: Tenderers must quote all prices in United States Dollars. 3.3 Turn Around Time: (a) The Tenderer shall mention TAT for each aircraft Check to meet the re-delivery schedule of S2-AHL (MSN 32630) on 19 March 2018 and S2-AHK (MSN 32629) on 04 May 2018 back to Lessor. The tenderer shall mention the maximum Turn Around Time (TAT) to perform the work packages of each aircraft as per following : i) TAT for S2-AHL Aircraft -. days ii) TAT for S2-AHK Aircraft -.days Page 12 of 19

13 (b) (c) For the purposes of calculating TAT, time shall commence from morning on the following day after delivery of the aircraft at the Tenderer s facility until 20:00 hours of the day the aircraft will be finally released and certified for re-delivery after completion of Re-delivery Check Package. Tenderer is to agree to provide Biman with real time update (progress) and Daily summary on the status of the aircraft being worked on and the flow chart plan to ensure TAT. 3.4 Payment Terms : Payment terms and conditions / schedule shall be mentioned by the Tenderers. 3.5 Penalty: (a) Tenderer must agree to pay penalty US$ 1, (US Dollars One Thousand only) for each day by which re-delivery is delayed beyond the TAT. The penalty will not be applicable if the delay is not caused by the Tenderer or if any major structural repair or replacement is involved where TAT is extended with mutual consent by both the parties. (b) The other exception to Clause 3.5 (a) above shall be force majeure situation. 3.6 Tenderer Address & Person(s) to be Contacted: Tenderer shall mention full mailing address including name, designation, Telephone & Cell no., ID of the contacting person(s). 3.7 Work Records: After completion of the check, two complete sets of hard copies (One original & one copy) and two complete sets of soft copies of the completed Re-delivery Check Package along with a Clearance Sheet duly signed by appropriate authorized person to be handed over to Biman. All records must be in English language. 3.8 Customer's Authorized Representative: Biman Technical Representatives, appointed Consultant and Lessor Representative(s) shall be positioned at the selected MRO facility to oversee, manage and coordinate the re-delivery Checks. One of Biman representatives will act as CAR (Customers Authorized Representative). Tenderer shall provide adequate office space/facilities for accommodating them with Computer, hi-speed internet connection, printers, Scanners and telephone with international calling provision. 3.9 Performance Warranty: The Tenderer must undertake six months Warranty on the performance of Re-delivery Check Package on each aircraft for workmanship, correctness, accuracy, standard and quality of work performed by the Tenderer. The Tenderer shall also warrant their subcontractor s work. Tenderer shall agree to bear the cost of all warranty related work. Page 13 of 19

Specification of consumable and components: (a) All items used by tenderer must have ARC (Serviceability Tag) approved by FAA and/or EASA (FAA or EASA form one). (b) All work done by tenderer must comply with the requirement of applicable FAA and/ or EASA regulations, Manufacturer and Civil Aviation Authority of Bangladesh (CAAB). (c) No use of PMA parts unless specifically approved by Biman and the Lessor. Page 14 of 19

15 4.3. Details specification of work package: (a) FORMAT LAY-OUT DESCRIPTION Description of Columns: AMP TASK NUMBER : TASK DESCRIPTION : REFERENCE(S) / MH : Each task number is identical of MPD item number. The first and second digit is the ATA number. The rest of the numbers denote the sequence number. But in CAAB & BG tasks, there is mentioned BG /CAAB. BG stands for Biman own generated task(s) and CAAB stands for ANO requirements. Gives a brief description of the work to be accomplished. NOTE are listed following the task description to provide additional explanation / useful information. ACCESS means the access panels or door numbers required to be opened when performing the task. AMM Reference provides chapter, section, subject and page block location of the appropriate AMM procedure to accomplish the task requirement. AMM Reference does not reflect the entire AMM task number due to differences in configurations. MH denotes manhour i:e Estimated Labor-hours (per airplane) required to perform the task(s). These labor-hours do not include the time required to gain access, position work stands, defuel and purge fuel tanks, troubleshoot, nor correct discrepancies found while performing the task. The labor-hours estimates are based on the use of skilled personnel and ready availability of required tools and equipment. PHASE : Phase number is provided against each task in accordance with utilization mentioned in para If there is 000 in phase number, tasks will be performed before phase 1. Also TCI/LIF/CNG/ENG/OAD/SHP(Out of Phases) is mentioned in phase number column. These tasks to be performed on or before reach to its interval. ZONE : It shows the area/zone in which the task has to be performed. They are indicated according to Manufacture s aircraft zoning diagram in the aircraft Maintenance Manual. INTERVAL : Task intervals are specified in terms of a frequency and usage parameter such as flight hours, cycles, and calendar time. For interval, there are two columns. One is for threshold and another is repeated, which are used to record the selected interval for the task. Threshold column indicates the Threshold, i.e. the time when the maintenance Task is first due and repeat column indicates the repeat interval which starts at the time of the last maintenance task performed. The repeat interval after the threshold interval has been reached. Note: When an interval is expressed in two or more limits i.e. 800 FC or 800 FH or 150 DY, the task is due when the first of the limits is reached. TASK Codes: Specifies the type of task to be carried out. Meanings of these codes are explained in paragraph (b) below: (b) TASK SYMBOLS CODING CODES TASK DESCRIPTION GVI: GENERAL VISUAL INSPECTION A visual examination of an interior or exterior area, installation or assembly to detect obvious damage, failure or irregularity. This level of inspection is made from within touching distance unless otherwise specified. A mirror may be necessary to enhance visual access to all exposed surfaces in the inspection area. This level of inspection is made under normally available lighting conditions such as daylight, hangar lighting, flashlight or drop-light and may require removal or opening of access panels or doors. Stands, ladders or platforms may be required to gain proximity to the area being checked. DVI/DET: DETAILED VISUAL INSPECTION An intensive visual examination of a specific structural area, system, installation or assembly to detect damage, failure or irregularity. Available lighting is normally supplemented with a direct source of good lighting at an intensity deemed appropriate by the inspector. Inspection aids such as mirrors, magnifying lenses, etc. may be used. Surface cleaning and elaborate access procedures may be required. Page 16 of 19

17 SDI: SPECIAL DETAILED INSPECTION An intensive examination of a specific item(s), installation or assembly to detect damage, failure or irregularity. The examination is likely to make extensive use of specialized inspection techniques and/or equipment. Intricate cleaning and substantial access or disassembly procedures may be required. OPC: OPERATIONAL CHECK An operational check is a task to determine that an item is fulfilling its intended purpose. Does not require quantitative tolerance. This is failure-finding task. This is a potential failure finding task. RESTORATION Reworking, replacement of parts or cleaning necessary to return an item to a specific standard. Restoration may vary from cleaning or replacement of single parts up to a complete overhaul. DISCARD The removal of an item from service at a specified life limit. LUBRICATION and SERVICING Any act of lubricating or servicing/ cleaning for the purpose of maintaining inherent design capabilities. Consumable replenishment by lubricating / servicing. VISUAL CHECK A visual check is an observation to determine that an item is fulfilling its intended purpose. Does not require quantitative tolerance. This is a failure finding task. BORESCOPE INSPECTION Detailed examination under usage of borescopic tools. ELECTRICAL WIRING INTERCONNECTION SYSTEM (EWIS) The term Electrical Wiring Interconnection System (EWIS) means any wire, wiring device, or combination of these, including termination devices, installed in the airplane for transmitting electrical energy between two or more termination points. ENHANCED ZONAL ANALYSIS PROCEDURES (EZAP) The Enhanced Zonal Analysis Procedures (EZAP) means attention to be given during electrical wiring installations. Thus, as well as determining zonal inspections, for zones that both contain electrical wiring and have potential for combustible materials being present an enhanced zonal analysis was performed. This enhanced zonal analysis provided a means to identify applicable and effective tasks to minimize contamination and to address significant wiring installation discrepancies that may not be reliably detected through zonal inspection. These dedicated tasks are included in the Systems and Power plant requirement section of this AMP. Since these tasks are normally not system specific and do not have a Failure Effect Category, they have been included under ATA 20. Page 17 of 19
