2 Biman Bangladesh Airlines Limited ( Biman ), the national flag carrier of Bangladesh was established in February At present Biman is operating flights to 07 Domestic and 15 International destinations. Out of the International destinations, Biman operates to 02 destinations in the SAARC countries, 04 destinations in the South East Asia, 08 destinations in the Gulf & Middle-East and 01 destination in Europe. At present, Biman has 13 (thirteen) aircraft in its fleet including 04 (four) ER, 02 (two) ER, 01 (one) A , 04 (four) and 02 (two) Dash8-Q400 aircraft. Biman took delivery of four ER and two aircraft from Boeing under the purchased agreement for 10 aircraft signed in Remaining 4 x aircraft are scheduled to be delivered in 2018/2019. Out of 13 aircraft, Biman leased two aircraft from GECAS and two D8-Q400 aircraft from Smart Aviation on long term basis and one A aircraft from WAMOS Air on short term basis. Biman has increased its weekly frequencies to some potential routes and is also planning to extend its services to prospective new destinations (like Guangzhou, Colombo, Male`) along with resumption of flights to Delhi and Hong Kong. B. PURPOSE Biman Bangladesh Airlines invites Proposal/Offer for Dry Lease of 02 (two) aircraft with winglets for a period of 72 months. The airline desires to induct these two aircraft with delivery schedule on or before 01 October 2018.The aircraft will be operated in Regional, International as well as in the Domestic Sectors of Biman Bangladesh Airlines. C. SUBMISSION OF THE PROPOSAL/OFFER The Proposal/Offer may be submitted to the General Manager (Corporate Planning) at a dedicated dacpm171@bdbiman.com by 1000 hours BST (0400 hours UTC) on 05 November 2017.Proposal/Offer may also be submitted through Courier Service or dropped in the Box placed in the Office of the General Manager (Corporate Planning), Biman Head Office, Balaka, Kurmitola, Dhaka-1229 within the stipulated time. The Proposal(s)/Offer(s) will be opened immediately after the closing time in presence of the Bidder(s), if any. No Proposal/Offer will be accepted after the closing time. Biman Bangladesh Airlines Ltd. would not be responsible for late receipt of Proposal/Offer due to any reason, whatsoever. Page 2 of 13
3 D. TENDER DOCUMENT Airlines, Operators, Owners of Aircraft, Manufacturers and/or Leasing Companies having aircraft of its own or legally authorized by the owner may participate in the RFP. 01. Basic and Mandatory Requirements The Bidder must provide the following information along with the submission of offer: Sl. Requirements Please tick the box where applicable a. Sister-ship (preferably from the same Lessor). c. Seat Configuration Two Class Configuration with 162 (12J+150Y) seats at the time of delivery. Provide LOPA along with offer. All seats must be in good condition. d. Age of Aircraft must not be more than 13 years old on 01 October e. Nature and Period of Lease Dry Lease for 72 (seventy two) months with delivery schedule on or before 01 October f. If the Bidder/Lessor is not the owner of the aircraft, owner s authorization/mandate for leasing the aircraft must be submitted with the offer. Without proper authorization, offer will not be considered for evaluation. g. Aircraft must be delivered in full operating condition and should have valid C of A and C of R. Please provide the same along with offer. h. 08 years, 10 years, 12 years and Heavy Maintenance Check (D Check or Equivalent) of the offered aircraft must not fall due within the first 12 months of the lease period. 4 pay the difference between the Heavy Maintenance cost and the accumulated Maintenance Reserves. i. Landing Gear next overhaul shall not be due during first year of lease period. Next overhaul due date and at cycles to be mentioned. If Landing Gear overhaul is due in the 2 nd year, the Lessor must pay the difference between the Landing Gear overhaul cost and the accumulated Maintenance Reserves. Comment, if any j. C -Check as per lessor s applicable maintenance program must be performed prior to commencement of lease. k. Bidder must mention the Re-Delivery conditions. Attached l. The Proposal/Offer should remain valid for at least 120 (one hundred twenty) days from the date of opening. 02. DELIVERY REQUIREMENTS: Before delivery of the aircraft, Bidder must comply with the below mentioned requirements (please comply/attend each item): Sl. Requirements Please tick the box where applicable a. Each Aircraft must be delivered fresh out of `C -Check. b. Major components which are On Condition or Condition Monitored shall be serviceable. c. No Engine/APU will have a reduced inspection interval requirement for a condition of an installed component. d. Terminating action requirement of any AD must not remain due during the dry lease period (repetitive inspection requirement are excluded) e. On-wing take-off EGT margin of each Engine must be minimum 25 Degree Celsius at time of delivery. f. All wheels and Brakes shall have at least 50% remaining useful life. g. All life limited parts for Both Engines and APU must have 5000 flight cycles remaining during delivery. h. In case of first run engine, engines must not exceed 5000 Flight Cycles since New during delivery. Otherwise engines must not exceed 2500 Flight Cycles since last Overhaul during delivery. i. All Hard time components including Emergency Equipment should preferably have 4000 hours or 2500 flight cycles or two years (whichever is higher) of life at time of delivery. Components having an interval/life less than these intervals shall have full life remaining. j. All repair embodied must be permanent as per manufacturer manual/instruction. k. Aircraft to be painted in Biman's Livery as per Biman's specifications at Lessor's cost. Page 4 of 13
5 Cockpit Crew, Cabin crew and Passenger seats must be serviceable, fully functional and pass any test/task per CMM and/or AMM and must meet specifications/requirements of CMM and/or AMM. l. Bidder will provide following Galley facilities and arrangements: a. 04 (Four) complete ship-sets Galley Equipment & Inserts including Oven (with inserts), Hot Cups/ Coffee Maker, Std Unit, Chiller etc. The Galley Equipment/Inserts of Atlas standard will be given preference. b. 04 (Four) set Trays (1/1, 1/2, 2/3) is required for providing the meal to the passengers as tray service. c. Sufficient facilities should be available for providing 02 (Two) major meals (01 meal for 1st sector & another 01 meal for return sector) for passengers & crew. d. Provide Galley Diagram. m. The aircraft must be equipped with following systems and same have to be fully functional before delivery: Attached 1. TCAS II Change LF Under Water Locator Device (ULD). 3. Automatic fixed and portable ELT. 4. ACARS system. 5. The aircraft must be fitted with PAX Chemical Oxygen Generation System. 6. Flight Data Monitoring (FDM) system. One downloading device must be delivered to Biman during delivery of the aircraft. 7. Engine Health Monitoring (EHM) data downloading system must be installed and full functional. 8. Software uploading and downloading system via CD/DVD/UMD. 9. GNSS/GPS System for RNAV1 must be incorporated and full functional. 10. ADS-B out Modification. 11. Any other mandatory requirements imposed by FAA/EASA shall have to be complied prior to delivery. 03. FINANCIAL OFFER/PROPOSAL Bidder must quote Monthly Lease Rent and Maintenance Reserves for each offered aircraft separately as under (please comply/attend each item): i. Monthly Lease Rent In US Dollar ii. Maintenance Reserves/Supplemental Rent (Maintenance Reserves may be quoted assuming monthly average Hour to Cycle Ratio: 2:1) - Airframe/FH In US Dollar Page 5 of 13
6 - Engine Refurbishment/FH - Engine LLP/Cycle - Landing Gear/Cycle - APU/Hour 04. ADDITIONAL INFORMATION Bidder must provide following additional information along with the offer: Sl. Biman will not be responsible for any costs if not specifically stated in the agreement or not arising directly out of Biman's use or possession of the aircraft. viii. During the lease term, Biman will be responsible for the Insurance of the Aircraft, Passengers and Third Party. Please mention Agreed value of the aircraft for Hull Insurance. In US Dollar 05. 8 f) Airworthiness and Modification Status The offered aircraft must be delivered in fully airworthy condition and with all applicable Airworthiness Directives; Mandatory Service Bulletins/Modifications complied effective on the date of delivery. If any AD/SB issued prior to delivery of the Aircraft and any modification fall due within the first 06 (six) months of the lease period, the Bidder (Lessor) shall be responsible for the cost associated with such modification. E. OPERATION AND MAINTENANCE OF THE AIRCRAFT Aircraft will be based at Dhaka, Bangladesh. The aircraft will be operated in domestic, regional and international sectors of Biman Bangladesh Airlines. Biman will be responsible for provision of Maintenance, Crew and Insurance. For HMV/Refurbishment/Overhaul of Landing Gear/APU, Engine or its modules; cost on the top of available Maintenance Reserves/Supplemental Rent to be shared based on utilization since last HMV/Overhaul/Refurbishment. Registration of the aircraft during the Dry lease period will be in Bangladesh as per regulations of the Civil Aviation Authority of Bangladesh (CAAB). F. INSPECTION OF THE AIRCRAFT Prior to finalization of the lease contract, a team comprising of officials of Biman and the Civil Aviation Authority of Bangladesh (CAAB) will inspect the aircraft. G. DELIVERY AND RE-DELIVERY LOCATION Aircraft are to be Delivered and Re-Delivered at a mutually agreed location. H. NEGOTIATION Biman will negotiate directly with the Airlines, Operators, Owner of Aircraft, Manufacturers or Leasing Companies having aircraft of their own or are legally authorized by the owner of aircraft for the proposed lease. Negotiations will take place in Dhaka, Bangladesh. I. GENERAL TERMS AND CONDITIONS a. Non-compliance of any condition in the RFP where the word must have been used will render the offer as non-responsive. b. No unsolicited paper/document/information/approach will be entertained at any stage of the bidding process. Bidders are required to comply with the stipulated terms and conditions of the RFP, failing which the proposal/offer may be rejected at the option of Biman Bangladesh Airlines. c. Before delivery of the aircraft, the successful bidder will have to execute a Lease Agreement containing standard and customary terms & conditions not inconsistent with the provisions of this RFP. d. All other industry standard terms & conditions will be provided in the lease agreement. Page 8 of 13

Biman Bangladesh Airlines Ltd. reserves the right to accept or reject any or all proposal(s)/ offer(s) partly or wholly at any time and/or stage without assigning any reason, whatsoever, and no claim shall be entertained in this regard. A list of Hard Time components, showing Part No., Serial No., Hours/Cycles/Calendar period logged since last overhaul, when next due and expiry date. A copy of certificate from the Airworthiness authority of the State of Registry of the aircraft approving the maintenance check schedule followed by Lessor. A statement from the owner/operator that the aircraft fully complies with the airworthiness requirements of the State of Registry. Details of maintenance program followed and approved by the airworthiness authority of the country of Registry. The aircraft and their documents will be inspected. Please indicate when and where the inspection can be made. The current balance or startup reserves in the amounts equal to the product of time logged and the corresponding maintenance reserves are made available by the Lessor to the Lessee to undertake the maintenance during the lease term. Please confirm availability of the startup reserves. Page 11 of 13

Owner's authorization/mandate in owner's letterhead for leasing the aircraft to Biman (applicable if the bidders is not the owner of the offered aircraft). x. Airworthiness Directive / Service Bulletin Compliance Report. xi. Brief Maintenance Activities for the last 12 (twelve) months. xii. Maintenance Check-Cycle interval. xiii. RVSM, BRNAV, RNP, PBN, ETOPS Approval Document. xiv. Installation Document regarding TCAS-II Change-7.1, Modified Cockpit Door Phase-II, EGPWS, Automatic ELT (406 MH Z ). xv. Standard package of technical documentation for normal airline flight operations and maintenance planning (hard copies and CD). ii. MPD, MRB, MMEL, MEL, CDL, Nonessential Equipment & Furnishings (NEF) Program, Weight & Balance Manual, Interior Drawings/ LOPA. iv. CMMs of BFE equipment such as Galleys, Passenger Seats, Impact activated ELTs. v. Provide configuration control software list. vi. Flight Safety Manual, Flight Safety Equipment List, their description and layout diagrams. vii. Aircraft major repair data history. viii. External Repairs and Damage Report (Repair Mapping/Charts). Provide dent and buckle chart. ix. Updated list of ADs and SBs incorporated on aircraft with Statement that no AD/mandatory SB would be due within the 12 months beginning lease. x. Complete Engine Records including: - LLP Listing and Back-to-Birth History (upto zero document). - Updated AD/SB Listing with Statement that no AD/mandatory SB would be due within the 12 months beginning lease. - Last 2 Shop Visit Report (if applicable). Boeing published all aircraft Manuals and pertinent documents must be customized with aircraft delivery configuration including Galley, Seats, IFE and LOPA and updated revision of all manuals must be provided prior to delivery of the aircraft. xxiii.
